1 – Authorization to lease and construction permit
• Persons concerned:
Yves Guillemot, common directors of Ubisoft Entertainment SA and Ubisoft Ltd.
• Nature and purpose:
On May 31, 2006, your Board of Directors authorized your company to guarantee commitments made by its subsidiary, Ubisoft Ltd.,
with Sun Life Pension Management Limited in connection with the lease of the premises located at Chertsey Gate, East London
Street, Chertsey, Surrey, England, and the construction permit related to said premises.
• Terms and conditions:
The surety bond issued by your company totaled €1,892,711 as at March 31, 2009.
2 – Brand licensing agreement with Gameloft SA
• Persons concerned:
Yves Guillemot, Michel Guillemot, Claude Guillemot, Christian Guillemot and Gérard Guillemot, the common directors of Ubisoft
Entertainment SA and Gameloft SA.
• Nature and purpose:
Your company signed an exclusive licensing agreement for current and future brands with Gameloft SA for the development of interactive
video games for telephone, fax and telecommunications devices, personal digital assistants (PDAs) and interactive television.
• Terms and conditions:
The term of the agreement is 10 years starting on April 1, 2002.
Royalties invoiced by your company for scal year 2008/09 totaled €752,844 excluding tax.
Agreements and commitments not authorized before
We also present our report on agreements and commitments in accordance with article L.225-42 of the French Commercial Code.
In accordance with article L.823-12 of the French Commercial Code, we advice you on the fact that these agreements and commitments
have not been previously authorized by your Board of Directors.
We are required to inform you, on the basis of the information provided to us, of the main terms and conditions of the agreements
and commitments as well as the authorization process has not followed.

Yves Guillemot and Claude Guillemot
• Nature and purpose:
Ubisoft Entertainment SA invoices nancial interests to its subsidiaries companies in connection with the guarantees granted for
the purpose of the payment of rents. The subsidiaries concerned are Ubisoft Entertainment LTDA (Brazil), Ubisoft Divertissement
Inc (Canada), Red Storm Entertainment Inc (the United States), Ubisoft SA (Spain), Ubisoft LTD (United Kingdom) and Ubisoft
Entertainment Sweden AB (Sweden).
