To the best of the Company's knowledge, as of March 31, 2009 there were no other shareholders who directly, indirectly or in
concert own 5% or more of the capital or voting rights.
In a letter to the Norges Bank (Norwegian central bank) dated May 19, 2009, Global – acting on behalf of the Norwegian Government
Pension Fund – reported that on May 14, 2009 it had exceeded the threshold of 5% of capital, holding 5.02% of the capital and 3.95%
of the voting rights in said fund.
1.3.2.3.3 Change of control
To the best of the Company’s knowledge:
• there are no agreements between shareholders that could lead to restrictions on the transfer of shares or the exercise of voting
rights;
• there are certain agreements reached by the Company that would be amended or terminated in the event of a change in control
at the Company, but for reasons of condentiality it seems unwise to specify the nature of these contracts;
• there are no measures that could delay, postpone or prevent a change of control.
1.3.2.3.4 Shareholders pact
To the best of the Company's knowledge there are no disclosed or undisclosed shareholder agreements concerning Ubisoft stock.
