1.4.2.5 No conviction for fraud, involvement in a bankruptcy and/or ofcial reprimand or charges
To the best of the Company knowledge over the past ve years:
• no member of the Board of Directors has been found guilty of fraud;
• no member of the Board of Directors has been involved in a bankruptcy, impoundment or liquidation as a member of an
administrative, management or supervisory body; and
• no ofcial reprimand and/or charges have been made against any member of the Board of Directors.
• no member of the Board of Directors or Executive Committee has been disqualied by a court from serving as a member of
an administrative, management of supervisory body of an issuer, or from participating in the management or conduct of the
business of an issuer in the last ve years.
1.4.2.6 Loans and guarantees granted to members of the Board of Directors
The Company has not granted any loans or guarantees to any member of the Board of Directors.
1.4.2.7 Absence of potential conicts of interest
To the best of the Company’s knowledge, there are no conicts of interest between members of the Board of Directors regarding
either their personal interests or their other duties.
1.4.2.8 Service provision agreements with the issuer and its subsidiariess
There are no service agreements linking members of the Board of Directors to the issuer or any Group subsidiary, the terms of
which provide for the granting of benets.
1.4.3 Membership, role and duties of Board Committees
1.4.3.1 Membership of Committees
In November 2007, the Board of Directors set up two specialist committees to help it examine specic issues.
