2.1.5.9.3 Related party transactions
1. Compensation of managers of the Company and of the controlling and/or controlled companies
Senior management essentially comprises the corporate ofcers.
Mrs Guillemot are remunerated for their positions as CEO and Executive Vice Presidents. This is xed compensation and they do
not have employment contracts.
The total gross compensation paid to managers during the nancial year by Ubisoft Entertainment, by controlled companies within
the meaning of IAS 24.16 (Gameloft SA) and by companies controlling those in which they held their positions (Guillemot Brothers
SA and Guillemot Corporation SA) was €2,671 thousand, of which €812 thousand was paid by Ubisoft Entertainment SA.
During the 2008/09 nancial year, members of the Board of Directors received €150 thousand in directors’ fees.
No commitments have been made by the Company in favour of its corporate ofcers related to their termination or change in
responsibilities.
There are no agreements to compensate Board members if they resign or are dismissed without real cause, or if their employment
is terminated due to a public offering.
