Furthermore, the company Ubisoft Entertainment SA invoices nancial interests to its subsidiaries companies for any commitment
entered into by them with banks and trading partners. These guarantees come within the general guarantee granted by
Ubisoft Inc (the United States) to Sony Corp Inc and the guarantee on the loan contracted by Ubisoft LTD (United Kingdom) with
the Ive company.
• Terms and conditions:
The remuneration of such guarantee is an annual x rate is 0.5% per year. The nancial revenue for the year 2008/09 totaled
€131,117.
Your Board of Directors considered that the agreements mentioned here above were entered into in compliance with the Article
225-39 of the French Commercial Code, and consequently, that procedure that the prior authorization of the Board required by
article L.225-38 was not applicable for him.
