17.1 Severability . If it is found in a final judgment by a court of competent jurisdiction (not subject to further appeal) that any term or provision
hereof is invalid or unenforceable, (i) the remaining terms and provisions hereof shall be unimpaired and shall remain in full force and effect; and (ii) the
invalid or unenforceable term or provision shall be replaced by a term or provision that is valid and enforceable and that comes closest to effectuating
the intention of such invalid or unenforceable term or provision.
17.2 No Waiver . No failure or delay by either party to insist on the strict performance of any obligation, covenant, agreement, term or condition
of this Lease, or to exercise any right or remedy available upon such non-
performance, will constitute a waiver thereof, and no breach or failure by either
party to perform will be waived, altered or modified, except by written instrument signed by such party.
17.3 Attorneys’ Fees and Costs . If either Landlord or Tenant initiates any litigation, mediation, arbitration or other proceeding regarding the
enforcement, construction or interpretation of this Lease, then the non-prevailing party shall pay the prevailing party’s attorneys’ fees and costs
(including all expense reimbursements, expert witness fees, litigation costs, court or arbitration tribunal costs, filing fees, exhibit fees, forensic
consultant fees, litigation support costs, expert witness fees, the costs of appeals and attorneys’ fees and costs incurred in connection with post-
judgment
collection and enforcement efforts). In addition, if it should otherwise be necessary or proper for Landlord to consult an attorney concerning this Lease
for the review of instruments evidencing a proposed Transfer or for the purpose of collecting Rent, Tenant agrees to pay to Landlord its actual attorneys’
fees whether suit be brought or not to the extent such fees exceed $500.00. The parties agree that this Section 17.3 shall survive the expiration or
termination of this Lease.
17.4 Waiver of Right to Jury Trial . TO THE FULLEST EXTENT PERMITTED BY LAW, LANDLORD AND TENANT EACH
EXPRESSLY WAIVES ITS RIGHT TO TRIAL BY JURY IN ANY TRIAL HELD AS A RESULT OF A CLAIM ARISING OUT OF, IN
CONNECTION WITH, OR IN ANY MANNER RELATED TO THIS LEASE IN WHICH LANDLORD AND TENANT ARE ADVERSE PARTIES.
FOR THE AVOIDANCE OF DOUBT, THE FILING OF A CROSS-COMPLAINT BY ONE AGAINST THE OTHER IS SUFFICIENT TO MAKE
THE PARTIES “ADVERSE.
