Pre-emptive Rights
There are no provisions for pre-emptive rights under the Company’s
bye-laws or the laws of Bermuda which would oblige the Company to
offer new shares on a pro rata basis to existing shareholders.
Purchase, Redemption or Sale of Listed
Securities of the Company
During the year, the Company purchased certain of its ordinary shares
(the “Shares”) on The Stock Exchange of Hong Kong Limited (the
“Stock Exchange”) and these Shares were subsequently cancelled by the
Company. The summary details of those transactions are as follows:

The purchased shares were cancelled during the year and the issued capital
of the Company was reduced by the par value thereof. The premium paid
on the purchases of the Company’s shares of HK$1,093,000 has been
charged to the share premium account of the Company. An amount
equivalent to the par value of the shares cancelled has been transferred
from the retained profits of the Company to the capital redemption
reserve. The purchase of the Company’s shares during the year was
effected by the directors, pursuant to the mandate from shareholders
received at the last annual general meeting.
Except as disclosed above, neither the Company nor any of its subsidiaries
purchased, redeemed or sold any of the Company’s listed securities
during the year.
優先認購權
根據本公司之公司細則或百慕達法例，並無任何有
關優先認購權之條文規定本公司須向現時之股東按
比例發售新股。
購買、贖回或出售本公司上市證券
年內，本公司於香港聯合交易所有限公司（「聯交
所」）購回其若干普通股（「股份」），且隨後註銷該等
股份。該等交易之詳情概要如下：
本公司所購買股份於年內註銷，而本公司已發行股
本按有關股份之面值減少。就購買本公司股份已付
之溢價1,093,000港元已於本公司股份溢價賬內扣
除。相等於已註銷股份面值之數額已自本公司保留
溢利轉撥入資本贖回儲備。年內購買本公司股份乃
由董事根據上屆股東週年大會所獲股東授權進行。
除上文所披露者外，本公司或其任何附屬公司於年
內並無購買、贖回或出售本公司任何上市證券。
