SECTION 16(a) BENEFICIAL OWNERSHIP REPORTING COMPLIANCE
The members of our Board of Directors, our executive officers and persons who hold more than 10% of our outstanding
common stock are subject to the reporting requirements of Section 16(a) of the Exchange Act, which requires them to file
reports with respect to their ownership of our common stock and their transactions in such common stock. Based solely upon a
review of the copies of Section 16(a) reports that we have received from such persons or entities for transactions in our
common stock and their common stock holdings for fiscal 2013, we believe that all reporting requirements under Section 16(a)
for such fiscal year were met in a timely manner by our directors and executive officers.

The graph shown below compares the performance of the Company’s common stock with that of the S&P 500 Index, the S&P
Specialty Retail Index and the S&P Retail Composite Index over the same period (assuming the investment of $100 in the
Company’s common stock and each of the three Indexes on February 28, 2009, and the reinvestment of dividends, if any).

NEXT YEAR’S ANNUAL MEETING
Proposals which shareholders intend to present at the 2015 Annual Meeting of Shareholders must be received by the Company
no later than February 4, 2015, to be presented at the meeting or to be eligible for inclusion in next year’s proxy statement
under the SEC’s proxy rules. Such proposals can be sent to the Company at 650 Liberty Avenue, Union, New Jersey 07083, Attn:
Warren Eisenberg, Co-Chairman and Secretary.
In addition, under the Company’s Amended By-laws, any proposal for consideration at the 2015 Annual Meeting of
Shareholders submitted by a shareholder other than pursuant to Rule 14a-8 will be considered timely if it is received by the
Secretary of the Company at its principal executive offices at 650 Liberty Avenue, Union, New Jersey 07083 between the close
of business on March 9, 2015 and the close of business on April 8, 2015, and is otherwise in compliance with the requirements
set forth in the Company’s Amended By-laws. If the date of the 2015 Annual Meeting of Shareholders is more than 30 days
before or more than 60 days after the anniversary date of the 2014 Annual Meeting of Shareholders, notice must be received
not earlier than the 120th day prior to the 2015 Annual Meeting of Shareholders and not later than the close of business on
the 90th day prior to the 2015 Annual Meeting of Shareholders, or if the first public announcement of the date of the 2015
Annual Meeting of Shareholders is less than 100 days prior to the date of the 2015 Annual Meeting of Shareholders, the
10th day following the date on which notice of the date of the meeting is given to shareholders or made public, whichever
occurs first.
