The Committees may not unilaterally decide to discuss issues beyond the scope of their mission. They
have no decision-making power but only that of making recommendations to the Board of Directors.
The main tasks of these Committees are presented below:
AUDIT COMMITTEE
COMPENSATION COMMITTEE
Examining, analyzing, monitoring and providing
advice on:
The process used to prepare financial information:
examining annual and interim financial statements
The effectiveness of internal control and risk
management systems implemented to identify,
evaluate, manage and control financial and non-
financial risks
Statutory audits of the annual financial statements
and consolidated financial statements by the
statutory auditor, ensuring in particular that legal
and regulatory obligations are observed
▪ The independence of the statutory auditor
Examining, analyzing and submitting proposals on:
The compensation of corporate officers (fixed
and/or variable portion)
The compensation principles for key teams and
talent
The general stock option and bonus share
allocation policy and more specifically the
percentage allocated to managers
The overall amount of directors’ fees and rules
regarding allocation
The information given in the annual report
regarding management compensation
The improvement of skills in new business lines
