 Nature and purpose:
On March 14, 2011, your Board of Directors authorized your Company to conclude retroactively
as of 1 April, 2010, an intellectual property license agreement relating to some intellectual
properties including trademarks (the “IP”) owned by Ubisoft Entertainment Sàrl, subject to the
payment by your Company of a 3.5% royalty calculated on Ubisoft Group’s sales in connection
with the due use of such IP. In consideration of the marketing costs related to the IP, your
company invoices to Ubisoft Entertainment Sàrl a marketing fee corresponding to 11% of the
royalties relating to the use of the IP thereto.
 Conditions :
The amount of the royalties booked for the year ended March 31, 2014 totaled € 2,755,718
excluding tax.
The amount of marketing fee re-invoiced for the year ended March 31, 2014 totaled €303,130
excluding tax.
2. License agreement with Gameloft S.E.

their capacity as:
- directors, Chairman and Chief Executive Officer (Yves Guillemot) or Executive Vice Presidents
(Claude Guillemot, Gérard Guillemot, Michel Guillemot and Christian Guillemot) of Ubisoft
Entertainment SA,
- directors, Chairman and Chief Executive Officer (Michel Guillemot) or Exectuvie Vice Presidents
(Claude Guillemot, Gérard Guillemot, Yves Guillemot and Christian Guillemot) of Gameloft S.E.
 Nature and purpose :
On November 1

, 2008, your Board of Directors authorized your company to grant to Gameloft
S.E. an exclusive and nontransferable license for the use and reproduction of video games for
iPhone and iPod Touch formats as well as a nonexclusive and nontransferable license
authorizing the reproduction of the trademarks and logos relating to the video games subject to
the exclusive use of the license. This agreement was amended on April 22, 2010 in order on the
one hand, to update the list of video games part of the appendix 1 and on the other hand, to
extend to the iPad format the 12 video games as well as the iPhone and iPod applications
realized and distributed by Gameloft S.E. in accordance with the agreement.
 Conditions :
The amount of the royalties booked as turnover by your company as of March 31, 2014 totaled
€165,367excluding tax.
