10. delegates all powers to the Board of Directors, with the option to delegate in accordance with
legal and regulatory conditions, to implement this authorization, under the conditions given above
and within the limits authorized by the texts in force and in particular, to determine, where
applicable, the terms and conditions of bonus share allocations that would be performed by virtue
of this authorization, to determine the identity of beneficiaries and the number of shares allocated
to each individual, to set the conditions of issue and the vesting date of the new shares to be
issued, the vesting dates for new shares, to confirm the realization of capital increases, to make
the necessary modifications to the Articles of Association, to make adjustments, where
applicable, during the vesting period, to the number of shares linked to potential transactions
involving the capital of the Company in order to preserve the rights of beneficiaries; and, in more
general terms, to undertake all formalities that are useful for the issuance, listing and financial
servicing of the shares issued by virtue of this resolution, and to do all that is useful and
necessary within the context of the law and regulations in force.
The Board of Directors shall inform the Ordinary General Meeting each year, in accordance with legal
and regulatory conditions (in particular Article L. 225-197-4 of the French Commercial Code), of
transactions performed within the context of this resolution.
This authorization is granted for a period of thirty-eight months from the date of this meeting and
supersedes the unused portion of the previous delegation granted by the twenty-second resolution of
the Combined General Meeting of June 27, 2013, ineffective.
3.2.3 RESOLUTION WITHIN THE SCOPE OF THE ORDINARY AND
EXTRAORDINARY GENERAL MEETING
SEVENTEENTH RESOLUTION
(Powers to carry out formalities)
The General Meeting, acting in accordance with the quorum and majority requirements for ordinary
general meetings, grants all necessary powers to the bearer of a copy or extract of the minutes
recorded for the deliberations undertaken in this Meeting for the purpose of carrying out any filings and
formalities required by law.
