Transaction between companies having directors in common
1. . Licensing agreement with Gameloft S.E.:
Contracting partner company:Gameloft S.E. (no existing ownership relationship between the
company and Gameloft S.E.).
Persons concerned:
Yves Guillemot, Claude Guillemot, Gérard Guillemot, Michel Guillemot and Christian Guillemot in
their capacity as:
- directors of Ubisoft Entertainment SA, Chairman and Chief Executive Officer (Yves Guillemot)
and Executive Vice Presidents (Claude Guillemot, Gérard Guillemot, Michel Guillemot and
Christian Guillemot)
- directors, Chairman and Chief Executive Officer (Michel Guillemot) or Executive Vice Presidents
(Claude Guillemot, Gérard Guillemot, Yves Guillemot and Christian Guillemot) of Gameloft S.E.
Nature and purpose:
On November 20, 2013, your Board of Directors authorized your Company to grant to Gameloft
S.E., with a retroactive effect as of April 1
st
, 2013, an exclusive trademark license agreement
enabling Gameloft S.E. to market and promote some of the Company’s video games’ trademarks
on mobile phones named “feature phones” as well as on mobile phones, iOS and Android tablets.
Conditions:
The amount of the royalties booked as sales by your Company as of March 31, 2014 totaled
€372,741 excluding tax.
The license agreement concerns the period from April 1, 2013 to May 1, 2017.
REGULATED AGREEMENTS AND COMMITMENTS PREVIOUSLY APPROVED BY THE SHAREHOLDERS’ MEETING
Agreements and commitments entered into in prior years remained in force during the past
financial year
Pursuant to article R.225-30 of the French Commercial Code, we have been informed that the
following agreements and commitments, previously approved by Shareholders’ Meetings of prior
years, have remained in force during the year.
