5.3. Information. To enable the Committee to perform its functions, the Participating Employers shall supply full and timely
information to the Committee on all matters relating to the compensation of Participants, their employment, retirement, death, the
cause for termination of employment, and such other pertinent facts as the Committee may require.
5.4. Indemnification of Committee. The Company agrees to indemnify and to defend to the fullest extent permitted by law
any officer or employee of any Participating Employer who serves as a member of the Committee (including any such individual who
formerly served as a member of the Committee) against all liabilities, damages, costs and expenses (including attorneys' fees and
amounts paid in settlement of any claims approved by the Company) occasioned by any act or omission to act in connection with the
Plan, if such act or omission is in good faith.
