ASSOCIATES
At December 31, 2001, we had 3,495 associates. (We refer to our employees as “associates” both within the Company and throughout
this document.) None of our associates are subject to collective bargaining agreements or represented by a union. We consider our
relations with our associates to be good. See “Item 7. Risk factors—An inability to retain and hire skilled personnel and senior
management could seriously harm our ability to maintain and grow our business.”

Our Domestic Retail Brokerage business leases a number of additional facilities in the United States. Our Global and Institutional
business leases additional facilities in Canada, Southeast Asia and Europe. Our Banking business leases additional facilities in the
United States. Our Wealth Management and Other business leases

additional facilities in the United States. In addition, we lease facilities in New York City, Boston, Beverly Hills, Denver and San
Francisco where our E*TRADE Financial Centers are located. These leases expire at various dates through 2013.
In fiscal 2001, we restructured many of our existing facilities and have consolidated some sites allowing for additional space to be
available for sublease. These additional facilities are not included above. See Note 3 in the Notes to the Consolidated Financial
Statements for a discussion of the restructuring.
We believe that our facilities are adequate for current needs and that additional or substitute space will be available as needed to
accommodate any future expansion of our operations.
