dated balance sheets of Whirlpool Corporation as of December 31, 2010 and 2009, and the related consolidated statements of
income, changes in stockholders’ equity (not presented separately here) and cash flows for each of the three years in the period
ended December 31, 2010 and in our report dated February 14, 2011, we expressed an unqualified opinion on those consolidated
financial statements. In our opinion, the information set forth in the accompanying financial statements (presented on pages 38
through 40) is fairly stated, in all material respects from which it has been derived.
We also have audited, in accordance with the standards of the Public Company Accounting Oversight Board (United States),
Whirlpool Corporation’s internal control over financial reporting as of December 31, 2010, based on criteria established in Internal
Control—Integrated Framework issued by the Committee of Sponsoring Organizations of the Treadway Commission and our report
dated February 14, 2011 expressed an unqualified opinion thereon.
