concurrence of the Required Holders, as it deems appropriate. This provision is intended solely for the benefit of the Second Priority Representative and its
successors and permitted assigns and is not intended to and will not entitle the other parties hereto to any defense, claim or counterclaim, or confer any rights
or benefits on any party hereto, or impose any obligation on the First Priority Representative or any of the other First Priority Secured Parties to inquire as to
the advice or concurrence of the Required Holders received by the Second Priority Representative prior to relying on the authority of the Second Priority
Representative to take any action permitted hereunder.
9.13 USA Patriot Act. The Borrower acknowledges that in accordance with Section 326 of the USA Patriot Act Deutsche Bank Trust Company Americas,
like all financial institutions and in order to help fight the funding of terrorism and money laundering, is required to obtain, verify, and record information that
identifies each person or legal entity that establishes a relationship or opens an account. The Borrower agrees that it will provide Deutsche Bank Trust
Company Americas with such information as it may request in order for Deutsche Bank Trust Company Americas to satisfy the requirements of the USA
Patriot Act. 28
