"Piggy-Back Registration Statement" is defined in Section 5.1 hereof.
"Prospectus" means the prospectus included in a Registration Statement, as amended or supplemented by any prospectus supplement and by all other
amendments thereto, including post-effective amendments, and all material incorporated by reference or deemed incorporated by reference into such
Prospectus.
"Note Purchase Agreement" is defined in the preamble hereto.
"Record Holder" means, with respect to any Additional Interest Payment Date relating to the Notes on which Additional Interest is to be paid, each Person
who is a Holder of Notes on the March 15, June 15, September 15 and December 15 immediately prior to such date.
"Registration Default" is defined in Section 6 hereof.
"Registration Demand" is defined in Section 3.1 hereof.
"Registration Statement" means any Exchange Offer Registration Statement, Piggy-Back Registration Statement or Shelf Registration Statement, which is
filed pursuant to the provisions of this Agreement, in each case, including the Prospectus included therein, all amendments and supplements thereto (including
post-effective amendments) and all exhibits and material incorporated by reference therein.
"Rule 415" means Rule 415 promulgated under the Securities Act, as amended or any similar rule or regulation hereafter adopted by the SEC.
"Rule 430A " means Rule 430A promulgated under the Securities Act, as amended or any similar rule or regulation hereafter adopted by the SEC.
"SEC" has the meaning set forth in the Indenture.
"Securities Act" means the Securities Act of 1933, as amended, and the rules and regulations of the SEC promulgated thereunder.
"Shelf Filing Deadline" is defined in Section 4 hereof.
"Shelf Registration Statement" is defined in Section 4 hereof.
"Suspension Period" is defined in Section 7.4 hereof.
"Trigger Date " is defined in the Indenture.
"Trust Indenture Act" means the Trust Indenture Act of 1939, or any successor thereto, and the rules, regulations and forms promulgated thereunder, all as
the same shall be amended from time to time.
"Transfer Restricted Securities " means each (i) Initial Note, until the earliest to occur of (a) the date on which such Note is exchanged in the Exchange
Offer and entitled to be resold to the public by the Holder thereof without complying with the prospectus delivery requirements of the Securities Act, (b) the
date on which such Note has been effectively registered under the Securities Act and disposed of in accordance with a Shelf Registration Statement or a Piggy
Back Registration Statement and (c) the date on which such Note is distributed to the public pursuant to Rule 144 under the Securities Act or is eligible for
distribution pursuant to Rule 144(k) under the Securities Act, and (ii) Exchange Note issued to a
