"Term B Loan Commitment" means, for each Lender, the obligation of such Lender to make a Term B Loan to the Borrower pursuant to Section 2.1(ii) in
an amount not exceeding the amount set forth opposite its name under the heading "Term B Loan Commitment" on the Commitment Schedule.
"Term B Note" means a promissory note, in substantially the form of Exhibit B-2 hereto, with appropriate insertions, and payable to the order of a Lender
in the amount of such Lender's Term B Loan, including any amendment, modification, renewal or replacement of such promissory note.
"Term Loan" means each of the Term A Loan and the Term B Loan.
"Transactions" means the transactions contemplated by this Agreement and the other Loan Documents, the Second Lien Documents and the Equity
Purchase Agreement.
"Transferee" is defined in Section 12.2.
"Travelers" means Travelers Express Company, Inc., a Minnesota corporation.
"Type" means, with respect to any Advance, its nature as a Floating Rate Advance or a Eurodollar Advance and with respect to any Loan, its nature as a
Floating Rate Loan or a Eurodollar Loan.
"Unfunded Liabilities" means the amount (if any) by which the present value of all vested and unvested accrued benefits under all Single Employer Plans
exceeds the fair market value of all such Plan assets allocable to such benefits, all determined as of the then most recent valuation date for such Plans based on
the assumptions used for purposes of Statement of Financial Accounting Standards No. 87.
"Unmatured Default" means an event which but for the lapse of time or the giving of notice, or both, would constitute a Default.
"Viad" means Viad Corp, a Delaware corporation.
"Weighted Average Life to Maturity" means, when applied to any Indebtedness, Disqualified Stock or preferred stock, as the case may be, at any date, the
quotient obtained by dividing:
(i) the sum of the products of the number of years from the date of determination to the date of each successive scheduled principal payment of such
Indebtedness or redemption or similar payment with respect to such Disqualified Stock or preferred stock multiplied by the amount of such payment, by
(ii) the sum of all such payments.
"Wholly-Owned Subsidiary" of any Person means a Subsidiary of such Person, 100% of the outstanding Capital Stock or other ownership interests of
