10.17. Patriot Act.
The Purchasers hereby notify the Company that pursuant to the requirements of the USA PATRIOT Act (Title III of Pub. L. 107-56 (signed into law
October 26, 2001)) (the "Patriot Act"), the Purchasers may be required to obtain, verify and record information that identifies the Company and its
Subsidiaries, including their respective names and addresses other information that will allow the Purchasers to identify the Company and its Subsidiaries in
accordance with the Patriot Act.
10.18. Currency.
All dollar amounts referred to in this Agreement are in lawful money of the United States.
10.19. Further Assurances.
Each of the parties hereto shall, upon reasonable request of any other party hereto, do, make and execute all such documents, act, matters and things as
may be reasonably required in order to give effect to the transactions contemplated hereby.
10.20. Sole Discretion.
Holdco and the Company agree that they shall not challenge or dispute any action or decision taken by any of the Purchasers that, pursuant to the terms of
this Agreement, any of the Purchasers is entitled to take in its sole discretion.
10.21. No Waivers.
Except as specifically set forth in this Second Amended and Restated Agreement, the execution, delivery and performance of this Second Amended and
Restated Agreement shall not constitute a waiver of any provision of, or operate as a waiver of any right, power or remedy of any party under, this Agreement
or any of the exhibits or schedules thereto.
