As of the end of the period covered by this report (the "Evaluation Date"), the Company carried out an evaluation, under the supervision
and with the participation of management, including the Chief Executive Officer and the Interim Principal Financial Officer, of the
effectiveness of the design and operation of the Company's disclosure controls and procedures (as defined in Rule 13a-15(e) of the
Securities Exchange Act of 1934, as amended (the "Exchange Act")). Based upon that evaluation, the Chief Executive Officer and
Interim Principal Financial Officer concluded that, as of the Evaluation Date, the Company's disclosure controls and procedures were
effective.
No change in the Company's internal control over financial reporting (as defined in Rule 13a-15(f) of the Exchange Act) during the fiscal
quarter ended December 31, 2009 has materially affected, or is reasonably likely to materially affect, the Company's internal control over
financial reporting.
