NOTICE OF ANNUAL MEETING OF SHAREHOLDERS
TO BE HELD MAY 3, 2011
To Our Shareholders:
The 2011 Annual Meeting of Shareholders of Cincinnati Bell Inc. (the “Company”) will be held on
Tuesday, May 3, 2011, at 11:00 a.m., Central Time, at the Marriott at Legacy Town Center, 7120 Dallas
Parkway, Plano, Texas, for the following purposes:
1. To elect eight directors to serve a one-year term ending in 2012;
2. To ratify the appointment of Deloitte & Touche LLP as the independent registered public accounting
firm to audit the financial statements of the Company for the year 2011;
3. To conduct an advisory vote on executive compensation;
4. To conduct an advisory vote on the frequency of holding an advisory vote on executive compensation;
5. To approve the Cincinnati Bell Inc. 2011 Short-Term Incentive Plan; and
6. To consider any other matters that may properly come before the meeting.
The Board of Directors has established the close of business on March 4, 2011 as the record date (the
“Record Date”) for determining the shareholders entitled to notice of, and to vote at, the Annual Meeting or any
adjournment or postponement of the Annual Meeting. Only shareholders of record at the close of business on the
Record Date are entitled to vote on matters to be presented at the Annual Meeting.
Your vote is important. Your prompt response will also help reduce proxy costs and will help you avoid
receiving follow-up telephone calls or mailings. Please vote as soon as possible.
Also, the Company has elected to take advantage of Securities and Exchange Commission rules that allow
the Company to furnish proxy materials to you and other shareholders on the internet.
