provisionsoftheExistingCreditAgreementandtheLoanDocumentsshallremainunchangedandshallcontinuetobe,andshallremain,infullforceand
effectinaccordancewiththeirrespectiveterms.
(b)OnandaftertheFirstAmendmentEffectiveDate,eachreferenceintheExistingCreditAgreementto“thisAgreement,”“hereunder,”
“hereof,”“herein,”orwordsoflikeimport,andeachreferencetotheExistingCreditAgreementinanyotherLoanDocumentshallbedeemedareference
totheExistingCreditAgreementasamendedhereby.ThisAmendment,executedpursuanttotheExistingCreditAgreement,shallconstitutea“Loan
Document”forallpurposesoftheExistingCreditAgreementandtheotherLoanDocumentsandshallbeconstrued,administeredandappliedin
accordancewithallofthetermsandprovisionsoftheCreditA greement.
SECTION4.3.FeesandExpenses.TheBorroweragreestoreimbursetheAdministrativeAgentforitsreasonableanddocumentedout-of-pocket
expensesinconnectionwiththisAmendment,includingthereasonablefees,chargesanddisbursementsofcounselfortheAdministrativeAgent.
SECTION4.4.SuccessorsandA ssigns.ThisAmendmentshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespective
successorsandassigns.
SECTION4.5.Headings.TheheadingsofthisAmendmentareforpurposesofreferenceonlyandshallnotlimitorotherwiseaffectthemeaninghereof.
SECTION4.6.Counterparts.ThisAmendmentmaybeexecutedbyoneormoreofthepartiestothisAmendmentonanynumberofseparatecounterparts
(includingbyfacsimileorelectroniccopy),eachofwhichwhensoexecutedanddeliveredshallbedeemedanoriginalandallofsaidcounterpartstakentogether
shallbedeemedtoconstituteoneandthesameinstrument.
