THISFIRSTAMENDMENTTOCREDITAGREEMENT,datedasofAugust31,2011(this“Amendment”),totheExistingCreditAgreement(as
definedbelow)isamongSEAGATETECHNOLOGY PUBL ICLIMITEDCOMPANY ,anIrishpubliclimitedcompany(“STX ”),SEAGATEHDDCAY MA N,
anexemptlimitedliabilitycompanyorganizedunderthelawsoftheCaymanIslands(the“Borrower”)andtheL enders(suchcapitalizedterm,andotherterms
usedinthispreambleortherecitalstohavethemeaningsprovidedinSection1.2)partieshereto.
WITNESSETH:
WHEREA S,pursuanttotheCreditAgreement,datedasofJanuary18,2011(asamended,supplemented,amendedandrestatedorotherwisemodified
priortothedatehereof,the“ExistingCreditAgreement”),amongSTX ,theBorrower,theL endersandTheBankofNovaScotiaastheAdministrativeAgent,the
LendershaveagreedtomakeL oansandtheIssuingBankshaveagreedtoissueLettersofCredittotheBorrower;
WHEREA S,theBorrowerhasrequested,subjecttothetermsandconditionshereinaftersetforth,thattheLendersamendtheExistingCreditAgreement
incertainrespectsasprovidedbelow;and
WHEREA S,theLendershaveagreedtosuchamendmentsonthetermsandconditionscontainedinthisAmendment.
NOW,THEREFORE,forgoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledged,thepartiesheretoherebyagree
asfollows:

DEFINITIONS
SECTION1.1.CertainDefinitions.Thefollowingterms(whetherornotunderscored)whenusedinthisAmendmentshallhavethefollowingmeanings
(suchmeaningstobeequallyapplicabletothesingularandpluralformthereof):
“Amendment”isdefinedinthepreamble.
“Borrower”isdefinedinthepreamble.
“ExistingCreditA greement”isdefinedinthefirstrecital.
“FirstAmendmentEffectiveDate”isdefinedinSection3.1.
“STX ”isdefinedinthepreamble.
SECTION1.2.ExistingCreditAgreementDefinedTerms.Unlessotherwisedefinedhereinorthecontextotherwiserequires,termsdefinedinthe
ExistingCreditA greementandusedinthisAmendmentshallhavethemeaningsgiventothemintheExistingCreditAgreement.
