ThismaterialweaknessresultedinadjustmentsthatwereincludedintherestatementoftheCompany’sconsolidatedfinancialstatementsfor2003,for
eachofthequartersintheyearendedDecember31,2003andforthefirst,secondandthirdquartersfor2004,andintheCompanyrecordingadjust-
mentstothefourthquarter2004financialstatements.Additionally,ifthismaterialweaknessisnotcorrected,itcouldresultinamaterialmisstatementof
thepensionandpostretirementaccountsthatwouldresultinamaterialmisstatementtoannualorinterimfinancialstatementsthatmightnotbeprevented
ordetected.
TheCompany’sindependentregisteredpublicaccountingfirmhasauditedmanagement’sassessmentoftheeffectivenessoftheCompany’sinternal
controloverfinancialreportingasofDecember31,2004,asstatedintheirreportwhichappearsonpage45undertheheading,ReportofIndependent
RegisteredPublicAccountingFirm.
RemediationPlansforMaterialWeaknessesinInternalControloverFinancialReporting
AccountingforIncomeTaxes
TheCompanyisimplementingenhancementstoitsinternalcontroloverfinancialreportingtoprovidereasonableassurancethaterrorsandcontroldefi-
cienciesinitsaccountingforincometaxeswillnotrecur.Thesestepsinclude:
•ThecreationandstaffingofaTaxAccountingManagerintheControllersorganizationtoprovideoversightovertheincometaxaccountingperformedby
thetaxorganizationaswellasotheractionstostrengthentheincometaxaccountingfunctionwithinthetaxorganization.
•TheCompany,inconjunctionwithexternaladvisors,hascompletedareviewofallsignificantincometaxrelatedaccountsonthebalancesheetincluding
areviewofincometaxaccountingrelatingtosignificantrestructuringandacquisitionordivestituretransactions.
•TheCompanyisimplementingdefinitivestandardsfordetaileddocumentationandreconciliationssupportingthedeferredtaxbalancesincludingthe
reviewandapprovalofrelatedjournalentriesbyappropriatesubjectmatterexperts.
•TheCompanyhasengagedthirdpartyadvisorstocompleteaninitiativetoclarifyandenhancerolesandresponsibilitiesacrossthefunctionincluding
levelsofauthoritybasedonanassessmentofthequalificationsofstaffandmanagement.Inconnectionwiththisinitiative,theCompanywillbeupgrad-
ingitstaxpersonnel.
•TheCompanyisinvestigatingtheimplementationofanITsolutiontoenhancecontrolswithrespecttothecollection,trackingandbookkeepingof
detaileddeferredtaxinformationonaglobalbasis.
•TheCompanywilldevelopcomprehensiveincometaxaccountingtrainingprogramsfortaxandcertainfinancepersonnel.
•TheCompanywillenhanceauditproceduressurroundingaccountingforincometaxes.
AccountingforPensionandOtherPostretirementBenefitPlans
TheCompanyisimplementingenhancementstoitsinternalcontroloverfinancialreportingforpensionsandotherpostretirementbenefitstoprovide
reasonableassurancethaterrorsandcontroldeficienciesofthistypewillnotrecur.Thesestepsinclude:
•TheCompanyhasobtainedactualpaymentdataforotherpostretirementbenefitsandinconjunctionwithitsactuary,recordedtheappropriatefinancial
statementadjustments.Onaprospectivebasis,quarterlyreportsofactualpaymentdatawillbeutilizedintheCompany’sfinancialreportingprocedures.
•TheCompanywillcompletetheinstallationandoperationalexecutionofaglobalITsystemcreatedwiththeassistanceofexternaladvisorstoenhance
controlswithrespecttothecollection,trackingandvalidationofbenefitarrangements,censusdataandotherassumptionsrelatedtopensionandother
postretirementbenefitplansonaglobalbasis.Thissystemwasdevelopedduring2004andwaspartiallyeffectiveduringthefourthquarterclosingprocess.
•TheCompanyhascompletedreconciliationsofcensusdatabetweenCompanysourcerecordsandplanactuarymodelsformaterialpensionandpostre-
tirementbenefitplans.Financialadjustmentsrequiredasaresultofthesereconciliationswererecordedinthe2004financialresults.
•Actionswillbeundertakentostrengthenthefunctionsresponsibleforthereconciliationofpensionandpostretirementbenefitplancensusdataincluding
appropriatetrainingofpersonnel.
Untilthesechangesarecompleted,thematerialweaknesseswillcontinuetoexist.Managementpresentlyanticipatesthatthechangesnecessaryto
remediatetheseweaknesseswillbeinplacebytheendofthethirdquarterof2005.
