controlcostsofoperationscouldnegativelyimpactthegrossmarginsofthe
Company.Kodak’sfailuretosuccessfullymanageoperationalperformance
factorscoulddelayorcurtailplannedimprovementsinmanufacturing
productivity.Acceleratingdigitalsubstitutioncouldresultinlowervolumes
inthefactorythanplanned,whichwouldalsonegativelyimpactgrossmar-
gins.IfKodakisunabletosuccessfullynegotiaterawmaterialcostswithits
suppliers,orincursadversepricingoncertainofitscommodity-basedraw
materials,reductioninthegrossmarginscouldoccur.Additionally,delays
intheCompany’sexecutionofincreasingmanufacturingcapabilitiesfor
certainofitsproductsinsomeofitsemergingmarkets,particularlyChina
whereitismorecostcompetitive,couldadverselyimpactgrossmargins.
Ifwefailtoexecuteourcapitalspendingplan,thiscouldadversely
impactourcashflow.
IfKodakexceedsits2005capitalspendingplan,thisfactorcouldad-
verselyimpacttheCompany’scashflowoutlook.Further,ifKodakdeems
itnecessarytospendmoreonregulatoryrequirementsorifunanticipated
generalmaintenanceobligationsarisethatrequiremorecapitalspending
thanplanned,theincreasedspendingcouldhaveanadverseimpacton
Kodak’scashflow.
Ifourplannedimprovementsinsupplychainefficiencyaredelayed,
thiscouldadverselyaffectourrevenuesandearnings.
Kodak’splannedimprovementinsupplychainefficiency,ifdelayed,could
adverselyaffectitsbusinessbypreventingshipmentsofcertainproducts
tobemadeintheirdesiredquantitiesandinatimelymanner.Theplanned
efficienciescouldbecompromisedifKodakexpandsintonewmarketswith
newapplicationsthatarenotfullyunderstoodoriftheportfoliobroadens
beyondthatanticipatedwhentheplanswereinitiated.Theunforeseen
changesinmanufacturingcapacitycouldalsocompromisethesupplychain
efficiencies.
Thecompetitivepressureswefacecouldharmourrevenue,gross
marginsandmarketshare.
CompetitionremainsintenseintheimagingsectorintheDigital&Film
ImagingSystems,GraphicCommunicationsandHealthsegments.Inthe
D&FISsegment,pricecompetitionhasbeendrivensomewhatbycon-
sumers’conservativespendingbehaviorsduringtimesofaweakworld
economy,internationaltensionsandtheaccompanyingconcernoverwar
andterrorism.IntheHealthandGraphicCommunicationssegments,ag-
gressivepricingtacticsintensifiedinthecontractnegotiationsascompeti-
torswerevyingforcustomersandmarketsharedomestically.Ifthepricing
andprogramsarenotsufficientlycompetitivewiththoseofferedbyKodak’s
currentandfuturecompetitors,Kodakmaylosemarketshare,adversely
affectingitsrevenueandgrossmargins.
Ifwefailtomanagedistributionofourproductsandservicesprop-
erly,ourrevenue,grossmarginsandearningscouldbeadversely
impacted.
Theimpactofcontinuingcustomerconsolidationandbuyingpowercould
haveanadverseimpactonKodak’srevenue,grossmargins,andearnings.
Inthecompetitiveconsumerretailenvironment,thereisamovementfrom
smallindividuallyownedretailerstolargerandcommonlyknownmass
merchants.Inthecommercialenvironment,thereisacontinuingconsolida-
tionofvariousgrouppurchasingorganizations.Theresellersanddistribu-
torsmayelecttousesuppliersotherthanKodak.Kodak’schallengeisto
successfullynegotiatecontractsthatprovidethemostfavorableconditions
totheCompanyinthefaceofpriceandaggressivecompetitors.
Economicuncertaintyindevelopingmarketscouldaffectadversely,
ourrevenueandearnings.
Kodakconductsbusinessindevelopingmarketswitheconomiesthattend
tobemorevolatilethanthoseintheUnitedStatesandWesternEurope.
TheriskofdoingbusinessindevelopingmarketslikeChina,India,Brazil,
Argentina,Mexico,Russiaandothereconomicallyvolatileareascould
adverselyaffectKodak’soperationsandearnings.Suchrisksincludethe
financialinstabilityamongcustomersintheseregions,politicalinstability
andpotentialconflictsamongdevelopingnationsandothernon-economic
factorssuchasirregulartradeflowsthatneedtobemanagedsuccess-

tochangesincurrencyexchangeratesandinterestrates,whichmay
adverselyaffectitsresultsofoperationsandfinancialposition.Exchange

businesstendtobemorevolatilethanthoseintheUnitedStatesand
