a)Introduction.ThetermsofthisAppendixAapplytoallAwards,otherthanStockOptionsorSARs,thatareintendedbytheCommitteetosatisfythe
requirementsfordeductibilityas“performance-basedcompensation”underSection162(m)(4)(C)oftheCode.
b)Definitions.ThecapitalizedtermsusedinthisAppendixshallhavethesamemeaningassetforthinthePlan,unlessotherwisedefinedbelow.
i)Committee.“Committee”meanstheExecutiveCompensationandDevelopmentCommitteeoftheBoard,orsuchotherBoardcommitteeasmaybe
designatedbytheBoardtoadministerthePlan;providedthattheCommitteeshallconsistofatleasttwodirectors,eachofwhomisan“outsidedirec-
tor”withinthemeaningofSection162(m)oftheCodeandtheapplicableregulationsthereunder.
ii)PerformanceCriteria.“PerformanceCriteria”shallmeananyofthefollowingfortheCompanyonaconsolidatedbasisand/orforanysubsidiary,
division,businessunitoroneormorebusinesssegments:returnonnetassets(RONA),returnonshareholders’equity,returnonassets,returnon
capital,shareholderreturns,totalshareholderreturn,returnoninvestedcapital,profitmargin,earningspershare,netearnings,operatingearnings,
CommonStockpricepershare,salesormarketshare,unitmanufacturingcost,workingcapital,productivity,dayssalesininventory,dayssalesout-
standing,revenue,revenuegrowth,cashflowandinvestablecashflow.
c)Awards.
i)EligibleEmployees.AllEmployeesareeligibletobeselectedforaPerformanceAwardduringaPerformanceCycle.
ii)PerformanceCycle.ForpurposesofthisAppendixA,aPerformanceCycleshallbeatleasttwelve(12)calendarmonths.
iii)CommitteeDiscretion.TotheextentrequiredbySection162(m)oftheCode,theCommitteeshallhavefulldiscretion,withinthefirstninety(90)
daysofaPerformanceCycle(or,iflonger,withinthemaximumperiodallowedunderSection162(m)oftheCode),todesignatetheEmployeeswho
willbeParticipantsforthePerformanceCycle,thelengthofsuchPerformanceCycle,thetype(s)ofAwardstobeissued,thePerformanceCriteriathat
willbeusedtocalculate,inanobjectivemanner,thePerformanceFormula,thekind(s)and/orlevel(s)ofthegoalsunderthePerformanceFormula,
whetherthePerformanceCriteriashallapplytotheCompany,Kodak,aSubsidiaryoranyoneormoresubunitsoftheforegoingandthePerformance
Formula.
iv)AdjustmentofAwards.TheCommitteeisauthorizedatanytimeduringthefirstninety(90)daysofaPerformanceCycle,oratanytimethereafter
(butonlytotheextenttheexerciseofsuchauthorityafterthefirstninety(90)daysofaPerformanceCyclewouldnotcausetheAwardsgrantedtothe
ParticipantforthePerformanceCycletofailtoqualifyas“performance-basedcompensation”underSection162(m)oftheCode),initssoleandabso-
lutediscretion,toadjustormodifythePerformanceFormulaforsuchPerformanceCycleinordertopreventthedilutionorenlargementoftherightsof
Participants,A)intheeventof,orinanticipationof,anyunusualorextraordinarycorporateitem,transaction,eventordevelopment;B)inrecognitionof,
orinanticipationof,anyotherunusualornonrecurringeventsaffectingtheCompany,orthefinancialstatementsoftheCompany,orinresponseto,or
inanticipationof,changesinapplicablelaws,regulations,accountingprinciplesorbusinessconditions;andC)inviewoftheCommittee’sassessment
ofthebusinessstrategyoftheCompany,performanceofcomparableorganizations,economicandbusinessconditionsandanyothercircumstances
deemedrelevant.InnoeventshalltheAwardofanyParticipantwhoisaCoveredEmployeebeadjustedpursuanttoSection6.2ofthePlantotheextent
itwouldcausesuchAwardtofailtoqualifyas“performance-basedcompensation”underSection162(m)oftheCode.
v)DeterminationofAwards.FollowingthecompletionofaPerformanceCycle,theCommitteeshallreviewandcertifyinwritingwhether,andto
whatextent,thegoalsunderthePerformanceFormulaforthePerformanceCyclehavebeenachievedand,ifso,tocalculateandcertifyinwritingthe
amountoftheAwardsearnedfortheperiod.TheCommitteeshallthendeterminetheactualsizeofeachParticipant’sAwardforthePerformanceCycle.
IndeterminingtheactualsizeofanindividualAwardforaPerformanceCycle,theCommitteemayreduce(butnotincrease)oreliminatetheamount
oftheAwardearnedunderthePerformanceFormulaforthePerformanceCycle,ifintheCommittee’ssolejudgment,suchreductionoreliminationis
appropriate.
