10.1GrantsAwardsunderthisArticle10maybegrantedtoParticipants,eitheraloneorinadditiontootherAwardsgrantedunderthePlanas
RestrictedStockAwardsorRestrictedStockUnitAwards.Awardsmaybegrantedintheformof:i)freestandinggrantsthatvestbasedonthepassageof
time,orii)grantsinpaymentofearnedPerformanceAwardsorotherincentivecompensationunderanotherplanmaintainedbytheCompany.
10.2AwardRestrictionsRestrictedStockAwardsorRestrictedStockUnitAwardsshallbesubjecttosuchterms,conditions,restrictionsand/or
limitations,ifany,astheCommitteedeemsappropriateincluding,butnotbywayoflimitation,restrictionsontransferabilityandcontinuedemployment;
provided,however,theyarenotinconsistentwiththePlan.TheCommitteemaymodifyoracceleratethedeliveryofaRestrictedStockAwardorRestricted
StockUnitAwardundersuchcircumstancesasitdeemswouldbeinthebestinterestoftheCompany.
10.3VestingPeriodforAwardstoEmployeesExceptasprovidedinSection12.2orArticle15,theperiodtoachievefullvestingfor
RestrictedStockAwardsandRestrictedStockUnitAwardsgrantedtoEmployeesintheformoffreestandinggrantsshallnotbeshorterthanthreeyears.
VestingunderthePlancanbeonaprorataorgradedbasisovertheperiodorcliffattheendoftheperiod;provided,however,thatgrantsmadetonew
hirestoreplaceforfeitedawardsfromaprioremployerandgrantsinpaymentofearnedPerformanceAwards(orotherincentivecompensation)arenot
subjecttotheminimumvestingperiod.
10.4EvidenceofAwardAnyRestrictedStockAwardorRestrictedStockUnitAwardgrantedunderthePlanmaybeevidencedinsuchmanner
astheCommitteedeemsappropriate,including,withoutlimitation,book-entryregistrationorissuanceofastockcertificateorcertificates.
ARTICLE11—OtherStock-BasedAwards
11.1GrantsAwardsunderthisArticle11maybegrantedtoParticipants,eitheraloneorinadditiontotheAwardsgrantedunderthePlan,inthe
formofOtherStock-BasedAwards.AwardsmaybegrantedeitherasfreestandinggrantsorpaymentsofearnedPerformanceAwardsorotherincentive
compensationunderanotherplanmaintainedbytheCompany.
11.2ConditionsandTermsofOtherStock-BasedGrantsTheCommitteemaybywayoftheAwardNoticeorotherwise,determine
suchotherterms,conditions,restrictionsand/orlimitations,ifany,ofanyOtherStock-BasedAward,providedthattheyarenotinconsistentwiththePlan.
OtherStock-BasedAwardsintheformofdeferredstockunitsshallnotbesubjecttoaminimumvestingperiod.
ARTICLE12—PaymentofAwards
12.1InGeneralAbsentaPlanprovisiontothecontrary,paymentofAwardsmay,atthediscretionoftheCommittee,bemadeincash(orequiva-
lents),CommonStockoracombinationofcashandCommonStock.Inaddition,paymentofAwardsmayincludesuchterms,conditions,restrictions
and/orlimitations,ifany,astheCommitteedeemsappropriate,including,inthecaseofAwardspaidintheformofCommonStock,restrictionsontransfer
andforfeitureprovisions;provided,however,suchterms,conditions,restrictionsand/orlimitationsarenotinconsistentwiththePlan.Further,paymentof
Awardsmaybemadeintheformofalumpsumorinstallments,asdeterminedbytheCommittee.
12.2TerminationofEmploymentTheCommitteeshalldeterminethetreatmentofaParticipant’sAwardunderthePlanintheeventofthe
Participant’sterminationofemployment,eitherinanindividualAwardNoticeoratthetimeoftermination.
12.3InimicalConductIfaParticipantperformsanyactorengagesinanyactivitywhichtheCEO,inthecaseofanEmployeeorformerEmployee,
ortheCommittee,inthecaseoftheCEO,aDirector,oraformerDirector,determinesisinimicaltothebestinterestsoftheCompany,theParticipantshall,
effectiveasofthedatetheParticipantengagesinsuchconduct,forfeitallunexercised,unearnedand/orunpaidAwards,including,butnotbywayof
limitation,Awardsearnedbutnotyetpaid,allunpaiddividendsanddividendequivalentsandallinterest,ifany,accruedontheforegoing.
12.4BreachofEmployee’sAgreementa)InGeneral.AParticipantwhoengagesinconductdescribedinSection12.4(c)belowshallim-
mediately:1)forfeit,effectiveasofthedatetheParticipantengagesinsuchconduct,allunexercised,unearnedand/orunpaidAwards,including,butnot
bywayoflimitation,Awardsearnedbutnotyetpaid,allunpaiddividendsanddividendequivalentsandallinterest,ifany,accruedontheforegoing,and2)
paytotheCompanytheamountofanygainrealizedorpaymentreceivedasaresultofanyStockOptionorSARexercisedbytheParticipantunderthePlan
withinthetwo-yearperiodimmediatelyprecedingthedatetheParticipantengagesinsuchconduct.
b)Set-Off.ByacceptinganAwardunderthisPlan,aParticipantconsentstoadeductionfromanyamountstheCompanyowestheParticipantfromtime
totime(including,butnotlimitedto,amountsowedtotheParticipantaswagesorothercompensation,fringebenefitsorvacationpay),totheextentof
theamountstheParticipantowestheCompanyunderSection12.4(a).WhetherornottheCompanyelectstomakeanyset-offinwholeorinpart,ifthe
Companydoesnotrecoverbymeansofset-offthefullamounttheParticipantowestheCompany,theParticipantshallimmediatelypaytheunpaidbalance
totheCompany.
c)Conduct.ThefollowingconductshallresultintheconsequencesdescribedinSection12.4(a):
i)Kodak.InthecaseofaParticipantwhohassignedaKodakcompanyemployee’sagreementthathasrestrictivecovenantssimilartothoseinSection
(iii)below(an“EastmanKodakCompanyEmployee’sAgreement”),theParticipant’sbreachoftheEastmanKodakCompanyEmployee’sAgreement.
