(iii) Reason of death or Disability, the Date of Termination shall be the date of death of the Participant or the
Disability Effective Date, as the case may be.
Notwithstanding the above, in the event that the Date of Termination as determined above is not the last date on
which the Participant is employed by the Employer, the Participant’s Date of Termination shall be the last date
on which the Participant is employed by the Employer.

Effective Date

The excise tax imposed by Section 4999 of the Code, together with any interest or penalties imposed with
respect to such excise tax.

As defined in Section 3.2(a).
Key Executive
An employee who is employed on a regular basis by the Employer and (i) is serving as the Company’s
Chairman and/or Chief Executive Officer, (ii) is serving in an executive position that reports directly to the
Company’
s Chairman and/or Chief Executive Officer, (iii) is serving as a Regional President of the Company or
(iv) is otherwise designated by the Committee as eligible to participate in this Plan.

Term Incentive Grant
Target The award that the Participant would receive with respect to a performance cycle under the Mondelēz
International, Inc. Long-Term Incentive Plan (a sub-plan of the 2005 Plan) or any comparable incentive plan or
any outstanding Long

Term Incentive Grant under the 2005 Plan if the target performance goals were achieved.

The Company and each of its subsidiaries and affiliates.

Competition
Agreement The agreement of a Participant not to, without the Company’s prior written consent, engage in any activity or
provide any services, whether as a director, manager, supervisor, employee, adviser, consultant or otherwise, for
a period of up to one (1) year following the Participant’s Date of Termination, with a company that is
substantially competitive with a Mondelēz Group business; provided, that if the Participant’s most recent grant
agreement contains non-competition standards that are more restrictive that apply to the Participant following
termination of employment, the standards in that grant agreement will supersede this provision.
