27. Appendix . Notwithstanding any provisions in this Agreement, the Deferred Stock Units shall be subject to any special terms set forth
in the Appendix to this Agreement for Employee’s country. Moreover, if Employee relocates to one of the countries included in the Appendix,
the special terms for such country will apply to Employee, to the extent the Company determines that the application of such terms is necessary
or advisable for legal or administrative reasons. The Appendix constitutes part of this Agreement.
28. Waiver . The Employee acknowledges that a waiver by the Company of a breach of any provision of this Agreement shall not operate
or be construed as a waiver of any other provision of this Agreement or of any subsequent breach by the Employee or any other participant of the
Plan.
29. Conformity to Securities Laws . The Employee acknowledges that the Award Statement, the Plan and this Agreement are intended to
conform to the extent necessary with all provisions of the Securities Act and the Exchange Act, and any and all regulations and rules
promulgated thereunder by the Commission, including, without limitation, Rule 16b-
3 under the Exchange Act. Notwithstanding anything herein
to the contrary, the Award Statement, the Plan and this Agreement shall be administered, and the Grant is made, only in such a manner as to
conform to such laws, rules and regulations. To the extent permitted by applicable law, the Award Statement, the Plan and this Agreement shall
be deemed amended to the extent necessary to conform to such laws, rules and regulations.
