This Lease is the entire agreement between the parties, and supersedes any prior agreements, representations,
negotiationsorcorrespondencebetweenthepartiesexceptasexpressedherein.Exceptasotherwiseprovidedherein,nosubsequentchangeor
additiontothisLeaseshallbebindingunlessinwritingandsignedbythepartieshereto.
21.19 Authority . If Tenant is a corporation, limited liability company or a partnership, each individual executing this Lease on behalf of the
corporation,limitedliabilitycompanyorpartnership,asthecasemaybe,representsandwarrantsthatheorsheisdulyauthorizedtoexecuteand
deliverthisLeaseonbehalfofsaidentityinaccordancewithitscorporatebylaws,operatingagreement, statementofpartnershiporcertificateof
limited partnership, as the case may be, and that this Leaseis binding upon said entity in accordance with its terms. If Tenantis a corporation,
Tenantshall,ifrequestedbyLandlord,within thirty(30)days afterexecutionof thisLeaseandprior toenteringinto possessionofthePremises,
deliver to Landlord a certified copy of a resolution of the Board of Directors of the corporation or certificate of the Secretary of the corporation,
authorizing,ratifyingorconfirmingtheexecutionofthisLease.IfTenantisalimitedliabilitycompany,Tenantshall,ifrequestedbyLandlord,within
thirty(30)daysafterthe execution ofthis Lease andprior toenteringinto possession ofthe Premises, delivertoLandlord acertified copy ofits
operatingagreementauthorizingsuchexecution.IfTenantisapartnership,Tenantshall,ifrequestedbyLandlord,withinthirty(30)daysafterthe
execution of this Lease and prior to entering into possession of the Premises, deliver to Landlord a certified copy of its partnership agreement
authorizingsuchexecution.IfTenantisamarriedindividual,TenantrepresentsandwarrantsthatheorshehasfullauthoritytoexecutethisLease
completepowertomanage,control,convey,sellorencumberanypropertywhichmaybejointlyheldorownedbyTenantandTenant'sspouseas
maybenecessarytosatisfyobligationsundertheLease.Withinthirty(30)daysafterthisLeaseissigned,ifrequestedbyLandlord,Tenantshall
delivertoLandlordanexecutedspousalacknowledgementandconsentwithrespecttothisLeaseintheformprovidedbyLandlordandexecutedby
Tenant'sspouse.Tenant'sfailuretohavesuchconsentexecutedorsodeliversuchexecutedconsentshallinnowayaffectthevalidityofthisLease
ortheforegoingrepresentationofTenant.
21.20Guaranty.AsaconditiontotheexecutionofthisLeasebyLandlord,theobligations,covenantsandperformanceoftheTenantasherein
providedshallbeguaranteedinwritingbytheGuarantorlistedinItem14oftheBasicLeaseProvisions,ifany,onaformofguarantyprovidedby
Landlord.
21.21Exhibits;References.Allexhibits,amendments,ridersandaddendaattachedtothisLeaseareherebyincorporatedintoandmadeapartof
this Lease. In the event of variation or discrepancy, the duplicate original hereof (including exhibits, amendments, riders and addenda, if any,
specified above) held by Landlord shall control. All references in this Lease to Articles, Sections, Exhibits, Riders and clauses are made,
respectively,toArticles,Sections,Exhibits,RidersandclausesofthisLease,unlessotherwisespecified.
21.22BasicLeaseProvisions.TheBasicLeaseProvisionsatthebeginningofthisLeaseareintendedtoprovidegeneralinformationonly.Inthe
eventofanyinconsistencybetweentheBasicLeaseProvisionsandthespecificprovisionsofthisLease,thespecificprovisionsofthisLeaseshall
prevail.
21.23NoMerger.ThevoluntaryorothersurrenderofthisLeasebyTenant,oramutualcancellationthereof,oraterminationbyLandlord,shall
notworkamerger,andshall,attheoptionofLandlord,terminatealloranyexistingsubtenanciesormay,attheoptionofLandlord,operateasan
assignmenttoLandlordofanyorallsuchsubtenancies.
21.24JointandSeveralObligations.IfmorethanonepersonorentityisTenant,theobligationsimposedoneachsuchpersonorentityshallbe
jointandseveral.
21.25 NoLightorAirEasement.Anydiminutionor shuttingoff oflightorairbyanystructurewhichmaybe erectedonlandsadjacentto the
BuildingshallinnowayaffectthisLease,abateRentorotherwiseimposeanyliabilityonLandlord.ThisLeasedoesnotconferanyrightwithregard
tothesubsurfacebelowthegroundleveloftheBuilding.
21.26 Security Measures. Tenant hereby acknowledges that Landlord shall have no obligation whatsoever to provide guard service or other
security measures for the benefit of the Premises, the Property or the Building. Tenant assumes all responsibility for the protection of Tenant,
Tenant'sAgentsandthepropertyofTenantandofTenant'sAgentsfromactsofthirdparties.NothinghereincontainedshallpreventLandlord,at
Landlord'ssoleoption,fromprovidingsecurityprotectionforthePropertyand/ortheBuildingoranypartthereof,inwhicheventthecostthereofshall
beincludedwithinthedefinitionofProjectCostsandpaidbyTenantinthemannersetforthinSection7.1.
