" Tenant Delays " means any and all delays due to the fault of Tenant, including, without limitation, Tenant's failure to deliver to Landlord,
concurrentlywithTenant'sexecutionofthisLease,executedcopiesofpoliciesofinsuranceorcertificatesthereofasrequiredunderSection11.8
andthe SecurityDepositandMonthlyRent forthe firstmonthsuch MonthlyRent isdue hereunderanddelaysintheconstructionof theTenant
ImprovementsduetothefaultofTenant,asdescribedintheWorkLetter.
"TenantImprovements"meansthosecertainimprovementstobeconstructedonthePremisesasprovidedintheWorkLetter.
" Tenant's Agents " means Tenant's agents, representatives, consultants, contractors, affiliates, subsidiaries, officers, directors, employees,
subtenants,guests,visitorsandinvitees.
"Tenant'sPersonal Property" meansTenant'sremovable trade fixtures,furniture,equipment and otherpersonalproperty locatedinor onthe
Premises.
"Tenant'sShare"isdefinedinSection7.2.
"Term"meansthetermofthisLease,asprovidedinSection3.2.
"Unavoidable Delay " means any delays which are beyond a party's reasonable control, including, but not limited to, delays due to inclement
weather,strikes,actsofGod,inabilitytoobtainlaborormaterials,inabilitytosecuregovernmentalapprovalsorpermits,governmentalrestrictions,
civilcommotion,fire,earthquake,explosion,flood,hurricane,theelements,orthepublicenemy,actionorinterferenceofgovernmentalauthoritiesor
agents, war, invasion, insurrection, rebellion, riots, lockouts or any other cause whether similar or dissimilar to the foregoing which is beyond a
party'sreasonablecontrol;providedhowever,thatinnoeventshallanyoftheforegoingeverapplywithrespecttothepaymentofanymonetary
obligation.
"WorkLetter"meanstheworkletterbetweenLandlordandTenantregardingtheconstructionoftheTenantImprovementsintheformofExhibitD
attachedhereto.
2.2 OtherDefinitions.Termsdefined elsewhere inthis Lease, unlessthe context clearlyrequiresotherwise, shall havethe meaning asthere
given.
ARTICLEIII
PREMISESANDTERM
3.1 Lease of Premises. Subject to and upon the terms and conditions set forth herein, Landlord hereby leases the Premises to Tenant, and
TenantherebyleasesthePremisesfromLandlord.ThePremisesarepartofthatcertainofficebuildingcommonlyknownas2665NorthFirstStreet,
San Jose, California (" Building"). The Building is located on a parcel of land owned by Landlord (which parcel and all improvements located
thereon from time to time, including, without limitation, the Building, driveways, landscaping and hardscaping, are referred to herein as the "
Property").
Theterm"CommonArea"asusedinthisLeaseshallmeanthoseinteriorcommonareasoftheBuilding(including,withoutlimitation,common
entrances, lobbies, corridors, stairways and stairwells, public restrooms and elevators) and exterior common areas of the Property (including,
withoutlimitation,thesurfaceparkingareas,vehiclelanes,driveways,sidewalks,walkwaysandsimilarareas)thatareprovidedanddesignatedby
Landlordfromtimetotimeforthegeneralnon-exclusiveuseofLandlord,tenantsoftheBuilding(andotherauthorizedusers)andtheirrespective
agents,employees,suppliers,shippers,customersandinvitees.
3.2TermandCommencement.Unlesssoonerterminatedasprovidedherein,theTermofthisLeaseshallbeforthatperiodsetforthinItem8of
theBasicLeaseProvisions,asthesamemaybeextendedinaccordancewithanyoptionoroptionstoextendtheTermgrantedherein,andshall
commence (the " Commencement Date ") on the earlier of (i) the date that the Tenant Improvements have been Substantially Completed (as
reasonablydeterminedbyLandlord),(ii)thedatethattheTenantImprovementswouldhaveotherwisebeenSubstantially
