oranypartofthePremisesaftertheexpirationorsoonerterminationofthisLeasewithoutthepriorwrittenconsentofLandlord,suchpossession
shallconstituteatenancyatsufferanceandshallbeanEventofDefaultundertheLeaseuponLandlord'swrittennotice.Ineitherofsuchevents,
MonthlyRentshallbeincreasedtoanamountequaltoonehundredfiftypercent(150%)oftheMonthlyRentpayableduringthelastmonthofthe
Term, and any othersums due hereunder shall be payable in the amounts and at the times specified in this Lease. Any such tenancy shall be
subjecttoeveryotherterm,conditionandcovenantcontainedinthisLease.
ARTICLEXX
CONSTRUCTIONOFTENANTIMPROVEMENTS
TheobligationsofLandlordandTenantwithrespecttotheTenantImprovementsaresetforthintheWorkLetter.Itisacknowledgedandagreed
thatallTenantImprovementsunderthisLeaseareandshallbethepropertyofLandlordfromandaftertheirinstallation.
ARTICLEXXI
MISCELLANEOUSANDINTERPRETIVEPROVISIONS
21.1Broker.TenantrepresentsandwarrantstoLandlordthatTenanthasnothadanydealingswithanyrealestatebroker,agentorfinderin
connectionwiththenegotiationofthisLeaseortheintroductionofthepartiestothistransaction,exceptforBroker,andthatitknowsofnootherreal
estatebroker,agentorfinderwhoisormightbeentitledtoacommissionorfeeinconnectionwiththisLease.Intheeventofanyadditionalclaims
forbrokers'orfinders'feeswithrespecttothisLease,Tenantshallindemnify,holdharmless,protectanddefendLandlordfromandagainstsuch
claimsiftheyshallbebasedupon anystatement orrepresentation oragreement madebyTenant,andLandlordshallindemnify, holdharmless,
protectanddefendTenantfromandagainstsuchclaimsiftheyshallbebaseduponanystatement,representationoragreementmadebyLandlord.
21.2ExaminationofLease;Effectiveness.SubmissionofthisLeaseforexaminationorsignaturebyTenantdoesnotcreateareservationofor
optiontolease.ThisLeaseshallbecomeeffectiveandbindingonlyuponfullexecutionanddeliveryofthisLeasebybothLandlordandTenant.
21.3NoRecording.TenantshallnotrecordthisLeaseoranymemorandumofthisLeasewithoutLandlord'spriorwrittenconsent,butifLandlord
sorequests,Tenantagreestoexecute,haveacknowledgedanddeliveramemorandumofthisLeaseinrecordableformwhichLandlordthereafter
mayfileforrecord.
21.4Quitclaim.UponanyterminationofthisLease,Tenantshall,atLandlord'srequest,execute,haveacknowledgedanddelivertoLandlordan
instrumentinwritingreleasingandquitclaimingtoLandlordallright,titleandinterestofTenantinandtothePremisesbyreasonofthisLeaseor
otherwise.
21.5ModificationsforMortgagees.IfinconnectionwithobtainingfinancingforthePremisesoranyportionthereof,Landlord'sMortgageesshall
requestreasonablemodificationstothisLeaseasaconditiontosuchfinancing,Tenantshallnotunreasonablywithhold,delayordeferitsconsent
thereto,providedsuchmodificationsdonotmateriallyadverselyaffectTenant'srightshereunder.Tenant'sfailuretosoconsentwithinfive(5)days
afterasecondwrittenrequestfromLandlord,shall,atLandlord'soption,constituteanEventofDefaultunderthisLease.
21.6Notice.AnyNoticerequiredordesiredtobegivenunderthisLeaseshallbeinwritingandshallbeaddressedtotheaddressofthepartyto
beserved.ThenoticesaddressesofLandlordandTenantareassetforthinItem1andItem3,respectively,oftheBasicLeaseProvisions.Each
such Notice shall be deemed effective and given (i) upon receipt, if personally delivered, (ii) for any Notice given by overnight courier, the next
BusinessDayafterdepositwiththecourier,(iii)uponbeingtelephonicallyconfirmedastransmitted,ifsentbytelegram,telexortelecopy,(iv)two(2)
BusinessDaysafterdepositintheUnitedStatesmailintheCounty,certifiedandpostageprepaid,properlyaddressedtothepartytobeserved,or
(v) upon receipt if sent in any other way. Any party hereto may from time to time, by Notice to the other in accordance with this Section 21.6 ,
designateadifferentaddressthanthatsetforthaboveforthepurposesofNotice,butsuchmodifiedaddressmustincludeastreetaddresstowhich
overnightcourierswilldeliver.IfTenant'saddressforNoticesisanaddressnotlocatedinCalifornia,then,notwithstandinganythingcontainedinthis
Section21.6tothecontrary,anynoticegivenbyLandlordunderCaliforniaCodeofCivilProceduresections1161and/or1162(including,without
limitation, any Notices given by Landlord under Article XV above that are intended to satisfy the notice requirements under said sections 1161
and/or1162)may,at
