15.11LimitationofActionsAgainstLandlord.Anyclaim,demandorrightofanykindbyTenantwhichisbaseduponorarisesinconnectionwith
thisLeaseshallbebarred unlessTenantcommencesanaction thereonwithintwelve (12)monthsafterthedate thattheact, omission,eventor
defaultuponwhichtheclaim,demandorrightarises,hasoccurred.Inaddition,ifLandlordcommencesanysummaryproceedingoractionagainst
Tenant for the nonpayment of Rent, Tenant shall not interpose any counterclaims of any nature or description in any such proceeding or action
(unlesssuchcounterclaimsshallbemandatory),ratherTenantshallberelegatedtobringinganindependentactionatlawtherefor.
15.12WaiverofJuryTrial.TOTHEFULLESTEXTENTPERMITTEDBYLAW,TENANTHEREBYWAIVESTHERIGHTTOTRIALBYJURYIN
ANYACTION,PROCEEDINGORCOUNTERCLAIMBROUGHTBYTENANTONANYMATTERWHATSOEVERARISINGOUTOFORINANY
WAY CONNECTED WITH THIS LEASE, THE RELATIONSHIP OF LANDLORD AND TENANT, TENANT'S USE OR OCCUPANCY OF THE
PREMISESAND/ORANYCLAIMOFINJURYORDAMAGE.
ARTICLEXVI
SUBORDINATION;ESTOPPELCERTIFICATE;FINANCIALS
16.1 Subordination, Attornment and Non-Disturbance . Without the necessity of any additional document being executed by Tenant for the
purposeofeffectingasubordination,andattheelectionofLandlordoranyMortgageeoranygroundlessorwithrespecttothelandofwhichthe
Premisesare apart,thisLeaseand anyfuture amendmentofthisLeaseshallbesubject andsubordinateatalltimesto(i)allgroundleasesor
underlyingleaseswhichmaynow existorhereafterbeexecutedaffectingtheBuilding,and (ii)thelienofanyMortgagewhichmaynowexist or
hereafter be executed in any amount for which the Property, the Building, ground leases and/or underlying leases, and/or Landlord's interest or
estate in any of said items, is specified as security. Landlord or any such Mortgagee or ground lessor shall have the right, at its election, to
subordinateorcausetobesubordinatedanysuchgroundleasesorunderlyingleasesoranysuchlienstothisLease.Nosubordinationshallpermit
materialinterferencewithTenant'srightshereunder,andanygroundlessororMortgageeshallrecognizeTenantanditspermittedsuccessorsand
assignsasthetenantofthePremisesandshallnotdisturbTenant'srighttoquietpossessionofthePremisesduringtheTermsolongasnoEvent
ofDefaulthasoccurredandiscontinuingunderthisLease.IfLandlord'sinterestinthePremisesisacquiredbyanygroundlessororMortgagee,orif
proceedingsarebroughtforthe foreclosureof, orintheeventof exerciseof powerofsaleunder,any Mortgagemade byLandlordcoveringthe
Premisesoranypartthereof,orifaconveyanceinlieuofforeclosureismadeforanyreason,Tenantshall,notwithstandinganysubordinationand
upontherequestofsuchsuccessorininteresttoLandlord,attorntoandbecometheTenantofthesuccessorininteresttoLandlordandrecognize
suchsuccessorininterestastheLandlordunderthisLeaseandanyamendmentofthisLease.AlthoughthisSection16.1isself-executing,Tenant
covenants and agrees to execute and deliver, upon demand by Landlord andin the form requested by Landlord, or any Mortgagee, or ground
lessor,anyadditionaldocumentsevidencingthepriorityorsubordinationofthisLeaseandanyamendmentofthisLeasewithrespecttoanysuch
groundleasesorunderlyingleasesorthe lienofanysuchMortgage, and/orevidencing theattornment ofTenant toanysuccessorininterest to
Landlordashereinprovided.Tenant'sfailuretotimelyexecuteanddeliversuchadditionaldocumentswithinten(10)daysfollowingwrittenrequest
therefor,whichfailurecontinuesforfive(5)daysafterasecondwrittenrequest,shall,atLandlord'soption,constituteanEventofDefaulthereunder.
16.2 Estoppel Certificate. Tenant shall, within ten (10) days following written request by Landlord from time to time, execute and deliver to
Landlordanydocuments,includingestoppelcertificates,inaformrequiredbyLandlord(i)certifyingthatthisLeaseisunmodifiedandinfullforce
andeffector,ifmodified,attachingacopyofsuchmodificationandcertifyingthatthisLease,assomodified,isinfullforceandeffectandthedate
towhichtheRentandotherchargesarepaidinadvance,ifany,(ii)acknowledgingthattherearenot,toTenant'sknowledge,anyuncureddefaults
onthepartoftheLandlordorstatingthenatureofanyuncureddefaults,(iii)evidencingthestatusofthisLeaseasmayberequiredbyaMortgagee
or a purchaser of the Premises, (iv) certifying the current Monthly Rent amount and the amount and form of Security Deposit on deposit with
Landlord, and (v) certifying to such other information as Landlord, Landlord's Agents, Mortgagees and/or prospective purchasers or their
Mortgagees may reasonably request, including, but not limited to, any requested information regarding Hazardous Materials. Tenant's failure to
deliveranestoppelcertificatewithinten(10)daysafterdeliveryofLandlord'swrittenrequesttherefor,whichfailurecontinuesforfive(5)daysaftera
secondwrittenrequest,shall,atLandlord'soption,constituteanEventof
