theright,at Tenant's sole cost and expense, to install Building signage on the exterior of the Building, identifying the name and/or logo of the
OriginalTenant(i.e.,"8x8,Inc.")(the"ExteriorSign").AllaspectsoftheExteriorSign,including,withoutlimitation,thelocation,graphics,materials,
color,design,lettering,size,qualityandspecificationsoftheExteriorSignshallbesubjecttothepriorwrittenapprovalofLandlord,whichapproval
shall not be unreasonably withheld, conditioned or delayed. The Exterior Sign shall also comply with and be subject to all Restrictions and
Applicable Laws, including, but not limited to, all requirements of the City of San Jose (" City") (or other applicable governmental authorities);
provided,however,thatinnoeventshalltheapprovalbytheCity(orotherapplicablegovernmentalauthorities)oftheExteriorSignbedeemeda
conditionprecedentto theeffectivenessof thisLease,and ifsuchapproval isnotobtained, Landlord'sandTenant's otherobligationsunder this
Leaseshallnotbeaffectedthereby.Landlordshall,atnocosttoLandlord,reasonablycooperatewithTenantin(i)obtainingapplicablepermitsfrom
the City in connection with the installation of the Exterior Signand (ii) coordinating Tenant's installation of the Exterior Sign. Followingthe initial
constructionandinstallationoftheExteriorSign,Tenantshallbeentitledtomodifythenameand/orlogoforsuchsignage,atTenant'ssolecostand
expense,tothenewnameand/orlogoadoptedbyOriginalTenant,providedthatthenewnameand/orlogoshallnotbeanObjectionableNameor
Logo(definedbelow)."ObjectionableNameorLogo"shallmeananynameorlogowhichrelatestoanentitywhichisofacharacterorreputation,
orisassociated withapoliticalorientationorfaction,whichis inconsistentwiththequalityoftheBuildingasafirst-classoffice building,orwhich
wouldotherwisereasonablyoffendalandlordofcomparablebuildings.Tenantshall,atitssolecostandexpense,maintaintheExteriorSigningood
conditionandrepair.ThesignagerightsgrantedtoTenantunderthisSection17.3arepersonaltotheOriginalTenantandmayonlybeexercisedby
theOriginalTenant(andnotanyassignee,oranysublesseeorothertransfereeoftheOriginalTenant'sinterestinthis Lease).Notwithstanding
anythingtothecontrarycontainedinthis Section17.2,inno eventshall Tenanthave anyright tothe ExteriorSign ifthe OriginalTenant isnot
leasingandoccupyingtheentirePremises.
ARTICLEXVIII
QUIETENJOYMENT
LandlordcovenantsthatTenant,uponperformingtheterms,conditionsandcovenantsofthisLease,shallhavequietandpeacefulpossessionof
thePremisesasagainstanypersonclaimingthesameby,throughorunderLandlord.
ARTICLEXIX
SURRENDER;HOLDINGOVER
19.1SurrenderofthePremises.UpontheexpirationorsoonerterminationofthisLease,TenantshallsurrenderthePremisestoLandlordinits
conditionexistingasoftheCommencementDate,normalwearandtearandactsofGodexcepted,withallinteriorwallsingoodrepair,allcarpets
shampooed and cleaned, the HVAC equipment, plumbing, electrical and other mechanical installations in good operating order and all floors
cleaned and waxed, all to the reasonable satisfaction of Landlord. Tenant shall remove those Alterations (including, without limitation,
telecommunicationsanddatacablingandwiring)whichTenantisrequiredtoremovepursuanttoSection8.1aboveandSection22.3below,andall
Tenant'sPersonalProperty,andshallrepairanydamageandperformanyrestorationworkcausedbysuchremoval.IfTenantfailstoremovesuch
AlterationsandTenant'sPersonalPropertywhichTenantisauthorizedandobligatedtoremovepursuanttotheabove,andsuchfailurecontinues
aftertheexpirationorsoonerterminationofthisLease,LandlordmayretainsuchpropertyandallrightsofTenantwithrespecttoitshallcease,or
LandlordmayplacealloranyportionofsuchpropertyinpublicstorageforTenant'saccount,orLandlordmaydisposeofsuchpropertyinanyother
manner permitted by Applicable Law. Tenant shall pay to Landlord, upon demand, the costs of removal of any such Alterations and Tenant's
PersonalPropertyandstorageandtransportationcostsofsame,andthecostofrepairingandrestoringthePremises,togetherwithattorneys'fees
and interest on said amounts at the Applicable Rate from the date of expenditure by Landlord. If the Premises are not so surrendered at the
expiration or sooner termination of this Lease, Tenant hereby agrees to indemnify Landlord and Landlord's Agents against all loss or liability
resultingfromanydelaybyTenantinsosurrenderingthePremises,including,butnotlimitedto,anyclaimsmadebyanysucceedingtenant,losses
toLandlordduetolostopportunitiesto leasetosucceedingtenants,and actualattorneys'feesandcosts. Inaddition,ifthePremises arenotso
surrendered at the expiration or sooner termination of this Lease, such failure shall, at Landlord's election and upon written Notice to Tenant,
constituteanEventofDefaultunderthisLease.
19.2HoldingOver.IfTenantremainsinpossessionofalloranypartofthePremisesaftertheexpirationorsoonerterminationofthisLeasewith
thepriorwrittenconsentofLandlordsuchholdingovershall
