"Notice"meanseachandeverynotice,communication,request,demand,replyoradvice,orduplicatethereof,inthisLeaseprovidedorpermitted
tobegiven,madeoracceptedbyeitherpartytotheotherparty,whichshallbeinwritingandgiveninaccordancewiththeprovisionsofSection21.6

"OperatingExpenses"means,collectively,ProjectCostsandRealPropertyTaxes.
"Premises"meansthepremisesshowninExhibitA,andallareasappurtenantthereto,ifany,fortheexclusiveuseofTenant,asshowninExhibit
A.ThePremisesarelocatedwithinandconstituteaportionoftheBuildingattheaddresssetforthinItem2oftheBasicLeaseProvisions.
"PremisesSquareFootage"means(a)theentireareaincludedwithinthePremises,beingtheareaboundedbytheinsidesurfaceofanyexterior
glasswalls(ortheinsidesurfaceofthepermanentexteriorwallwherethereisnoglass)oftheBuildingboundingthePremises,theinsidesurfaceof
theexteriorofallwallsseparatingthePremisesfromanypubliccorridorsorsuchotherpublicareasonsuchfloor,andthecenterlineofallwalls
separatingthePremisesfromotherareasleasedortobeleasedtoothertenantsonsuchfloor;and(b)anamountequaltoTenant'sShareofthe
lobbyareas,corridors,restrooms,mechanicalrooms,janitorialrooms,electricalroomsandtelephoneclosetsintheBuilding.ThePremisesSquare
FootageasoftheexecutionofthisLeaseissetforthinItem6oftheBasicLeaseProvisions.
"Property"isdefinedinSection3.1.
"ProjectCosts"isdefinedinSection7.3.
"ProjectCostsExpenseBase"meanstheallowanceforProjectCoststhatLandlordwillcredittoTenant'sShareofProjectCostsunderArticleVII
,whichallowanceamountissetforthunderItem17oftheBasicLeaseProvisions.
"RealPropertyTaxes"isdefinedinSection7.4.
"Rent"meansMonthlyRentandAdditionalRent,collectively.
" Restrictions " means, collectively, the CC&Rs and any other covenants, conditions or restrictions of which Tenant has received actual or
constructivenoticeaffectingthePremisesoranyportionthereof,asthesamemaybeamendedfromtimetotime.
"RulesandRegulations"means,collectively,therulesandregulationsattachedheretoasExhibitCandanymodificationstheretopromulgatedby
LandlordorLandlord'sAgentsfromtimetotime,andsuchrulesandregulationspromulgatedbytheRestrictions.
"SecurityDeposit"meanstheamountsetforthinItem10oftheBasicLeaseProvisions,whichshallbepaidtoLandlordbyTenantpursuantto
Section4.6.
"SubstantialCompletion"and"SubstantiallyCompleted"mean,withrespecttotheTenantImprovements,orrepairofthePremisesfollowinga
CasualtyoranyotherrepairsorworksofconstructiontobeperformedbyLandlord,thatsuchworkorrepairshavebeenfullycompletedexceptfor
minor details of construction, mechanical adjustments or decoration which do not materially interfere with Tenant's use and enjoyment of the
Premises(itemsnormallyreferredtoas"punchlist"items),allasreasonablydeterminedbyLandlord.
