provisionsofthisLeasearetobeusedandoccupiedunderarevocablelicenseandright,andiftheamountofsuchareasbediminished,Landlord
shall not be subject to any liability nor shall Tenant be entitled to compensation or diminution or abatement of Rent, and such revocation or
diminutionofsuchareasshallnotbedeemedconstructiveoractualeviction.Itisunderstoodandagreedthatthecondemnationorothertakingor
appropriationbyanypublicorquasi-publicauthority,orsaleinlieuofcondemnationofalloranyportionoftheCommonAreashallnotconstitutea
violationofLandlord'sagreementshereunder,andTenantshallnotbeentitledtoterminatethisLeaseorparticipateinormakeanyclaimforany
awardorothercondemnationproceedsarisingfromanysuchtakingorappropriationoftheCommonArea.
10.6Landlord'sReservedRights.Landlordreservestherighttoinstall,use,maintain,repair,relocateandreplacepipes,ducts,conduits,wires
andappurtenantmeters andequipmentincludedinthePremisesoroutsidethePremises,changetheboundarylinesofthePropertyandinstall,
use,maintain,repair,alterorrelocate,expandandreplaceanyCommonArea;provided,however,Landlordshallnotunreasonablyinterferewith
Tenant's use of the Premises. Such rights of Landlord shall include, but are not limited to, designating from time to time certain portions of the
CommonAreaasexclusivelyforthebenefitofcertaintenantsinthePropertyortheBuilding(andTenantshallnotbepermittedtouseanyportions
sodesignatedbyLandlord).
10.7Parking.TenantshallbeentitledtothenumberofvehicleparkingspacessetforthinItem15oftheBasicLeaseProvisions.TheUnreserved
Spacesshallbeunreservedandunassigned,onthoseportionsoftheCommonAreadesignatedbyLandlordfromtimetotimeforunreservedand
unassignedparking.Tenantshallnotusemoreparkingspacesthansuchnumbers.Allparkingspacesshallbeusedonlyforparkingbyvehiclesno
largerthanfullsizepassengerautomobilesorpick-uptrucks.TenantshallnotpermitorallowanyvehiclesthatbelongtoorarecontrolledbyTenant
or Tenant's employees, suppliers, shippers, customers, or invitees to be loaded, unloaded, or parked in areas other than those designated by
Landlord for such activities. Parking within the Common Area shall be limited to striped parking stalls, and no parking shall be permitted inany
driveways,accesswaysorinanyareawhichwouldprohibitorimpedethefreeflowoftrafficwithintheCommonArea.Thereshallbenoovernight
parkingofanyvehiclesofanykind.IfTenantcommits,permitsorallowsaviolationofanyofthetermsandconditionsofthisLeaserelatingtothe
useoftheCommonAreaortherulesthenineffectwithrespectthereto,orifavehicleisbeingoperatedbyTenantoritsagents,employees,guests,
customers,inviteesorsubtenantsinamannerthatLandlordoritsdesignatedagentreasonablydeterminesisadangertothehealthandsafetyof
personsonorabouttheProject,thenLandlord,throughitsdesignatedagent,shallhavetheright,withoutnotice,inadditiontosuchotherrightsand
remedies that it may have, to remove or tow away the vehicle involved from the Project and charge the cost to Tenant, which cost shall be
immediatelypayableupondemandbyLandlord.LandlordmaydelegateitsresponsibilitiesunderthisSection10.7toaparkingoperator,inwhich
case(i)suchparkingoperatorshallhavealltherightsofcontrolreservedhereinbyLandlord,(ii)Tenantshallenterintoaparkingagreementwith
suchparkingoperator,and(iii)Landlordshallhavenoliabilityforclaimsarisingthroughactsoromissionsofsuchparkingoperatorexcepttothe
extent caused by Landlord's gross negligence or willful misconduct. Tenant's parking rights under this Section 10.7 are solelyfor the benefit of
Tenant'semployeesandinviteesandsuchrightsmaynotbetransferredwithoutLandlord'spriorconsent,exceptpursuanttoaTransferpermitted
underArticleXIV.
ARTICLEXI
INDEMNITYANDINSURANCE
11.1lndemnification.TothefullestextentpermittedbyApplicableLaw,Tenantherebyagreestodefend(withattorneysacceptabletoLandlord),
indemnify,protectandholdharmlessLandlordandLandlord'sAgentsandanysuccessorstoalloranyportionofLandlord'sinterestinthePremises
andtheirdirectors,officers,partners,managers,members,employees,authorizedagents,representatives,affiliatesandMortgagees(collectively,
the"LandlordParties"),fromandagainstanyandalldamage,loss,claim,liabilityandexpense,including,butnotlimitedto,actualattorneys'fees
andlegal costs, incurred directly or indirectly by reason of any claim, suit or judgment brought by or on behalf of (i) any person or persons for
damage,lossorexpensedueto,butnotlimitedto,personalorbodilyinjuryorpropertydamagesustainedbysuchpersonorpersonswhicharise
outof,areoccasionedby,orareinanywayattributabletotheuseoroccupancyofthePremisesortheactsoromissionsoftheTenantorTenant's
AgentsinoraboutthePremises,thePropertyortheBuilding(including,butnotlimitedto,anyEventofDefaulthereunder),or(ii)TenantorTenant's
Agentsfordamage,lossorexpensedueto,butnotlimitedto,personalorbodilyinjuryorpropertydamagewhichariseoutof,areoccasionedby,or
areinanywayattributabletotheuseofanyoftheCommonArea,excepttotheextentcausedbythenegligenceorwillfulmisconductofLandlord.
11.2PropertyInsurance.LandlordshallobtainandkeepinforceduringtheTermofthisLeaseapolicyorpoliciesofinsurance,withdeductibles
atthesolediscretionofLandlord,coveringlossordamagetothePremises,
