all or any portion of the Premises for the conduct of business. When the actual Commencement Date has occurred, Tenant shall execute a
CommencementDateMemorandumintheformshowninExhibitB(the"CommencementDateMemorandum")asprovidedbyLandlordwithin
five(5)daysafterLandlord'srequesttherefore.Tenant'sfailuretoexecutetheCommencementDateMemorandumwithinsaidfive(5)dayperiod
shall,atLandlord'soption,beanEventofDefaulthereunderandshallconstituteTenant'sacknowledgmentofthetruthofthefactscontainedinthe
Commencement Date Memorandum delivered by Landlord to Tenant. Landlord and Tenant anticipate that the Term will commence on the "
AnticipatedCommencementDate"setforthinItem7oftheBasicLeaseProvisions,buttheAnticipatedCommencementDateshallinnoevent
affecttheactualCommencementDate,whichshallbedeterminedassetforthinthisSection3.2.
3.3 EarlyEntry.Tenantanditsauthorized agents,contractors, subcontractorsandemployeesshallbegrantedalicensebyLandlord toenter
uponthePremises,atTenant'ssoleriskandexpense,atleastten(10)dayspriortotheCommencementDatetoinstallfixturesandequipment,so
longassuchentrydoesnotinterferewithLandlord'sworkinthePremisesorintheProject;provided,however,that(a)theprovisionsofthisLease
(otherthanwithrespecttothepaymentofMonthlyRentorpaymentofOperatingExpensesandAdditionalRentforOperatingExpenses(i.e.both
Project Costs andReal Property Taxes)), shall apply during suchearly entry, including, but not limited to, the provisions of Article XI relatingto
Tenant's indemnification of Landlord, (b) prior to any such entry, Tenant shall pay for and provide evidence of the insurance to be provided by
TenantpursuanttotheprovisionsofArticleXI,(c)Tenantshallpayallseparatelymeteredutility,serviceandmaintenancechargesforthePremises
attributable to Tenant's early entry and use of the Premises as reasonably determined by Landlord, (d) prior to such entry, Tenant shall have
delivered to Landlord an executed original of thisLease and payment in an amount equal to: (i) Monthly Rent and Tenant's Share of estimated
OperatingExpensesforthefirst(1st)month)oftheTerminwhichsuchamountsaredue,plus(ii)theSecurityDepositsetforthinItem10ofthe
BasicLeaseProvisions,and(e)TenantshallnotinterferewiththecompletionoftheTenantImprovementsorLandlord'sotherimprovementsinany
way.UponTenant'sbreachofanyoftheforegoingconditions,Landlordmay,inadditiontoexercisinganyofitsotherrightsandremediessetforth
herein,revokesuchlicenseuponnoticetoTenant.
3.4DelayinPossession.IfLandlordcannotdeliverpossessionofthePremisestoTenantwiththeTenantImprovementsSubstantiallyCompleted
onorbeforetheAnticipatedCommencementDateoranyotherdateforanyreason,Landlordshallnotbesubjecttoanyliabilitytherefor,andsuch
failureshallnotaffectthevalidityofthisLeaseortheobligationsofTenanthereunder,butinsuchcase,TenantshallnotbeobligatedtopayMonthly
RentorAdditionalRentotherthanasprovidedinSection3.5untilpossessionofthePremiseshasbeendeliveredtoTenant(whichdateshallthen
be deemed the Commencement Date for all purposes under this Lease). Tenant understands that, notwithstanding anything to the contrary
containedherein,LandlordshallhavenoobligationtodeliverpossessionofthePremisestoTenantforsolongasTenantfailstodelivertoLandlord
executedcopiesofpoliciesofinsuranceorcertificatesthereofasrequiredunderSection11.8.
3.5TenantDelays.TheCommencementDateshallnotbedelayedorpostponedduetoTenantDelays,andtheTerm,Tenant'sobligationstopay
RentandallofTenant'sotherobligationsunderthisLeaseshallcommenceuponthedatewhichwouldhavebeentheCommencementDatebutfor
TenantDelays.
3.6"AS-IS"ConditionofPremises.ExceptfortheTenantImprovements,removalofallexistingphone,ITanddatacablingandwiringcurrentlyin
thePremises,andasotherwise specificallyprovidedherein,TenantshallacceptthePremisesfromLandlordin its"AS-IS" conditionand Tenant
acknowledges and agrees that Landlord has no obligation to improve, alter or remodel the Premises in any manner whatsoever. The taking of
possessionoruseofthePremisesbyTenantforanypurposeshallconclusivelyestablishthatTenanthasinspectedthePremisesandacceptsthem
asbeingingoodandsanitaryorder,conditionandrepair.LandlordherebyinformsTenantthattheBuildingandtheProjecthavenotundergonean
inspection by a person certified pursuant to Section 4459.2 of the California Government Code (a Certified Access Specialist). Tenant hereby
waivesanyandallrightsitotherwisemightnoworhereafterhaveunderSection1938oftheCaliforniaCivilCode.
3.7NoRepresentations.TenantacknowledgesthatneitherLandlordnoranyofLandlord'sAgentshasmadeanyrepresentationsorwarrantiesas
to the suitability or fitnessof the Premises for the conduct of Tenant's business, including, but not limited to, any representations or warranties
regarding zoning or other land use matters, or for any other purpose, and that neither Landlord nor any of Landlord's Agents has agreed to
undertakeanyalterationsoradditionsorconstructanytenantimprovementstothePremisesexceptasexpresslyprovidedinthisLease.
3.8RelocationofPremises.Landlordshallhavetheright,atanytimebeforeorduringtheTerm,torelocateTenantfromthePremisestoother
spacelocatedwithintheBuildingorthePropertyuponnolessthanninety
