representedbyLandlord;(2)thattherearenouncureddefaultsinLandlord'sperformanceandthatTenanthasnorightofoffset,counterclaim,or
deductionagainstRent;(3)notmorethanone(1)month'sRenthasbeenpaidinadvance;and(4)astothetruthandaccuracyofanyothermatters
setforthintheformofestoppelcertificatesubmittedtoTenant.
16.3FinancialInformation.TenantshalldelivertoLandlord,priortotheexecutionofthisLease,andwithinten(10)daysfollowingwrittenrequest
thereforbyLandlordfromtimetotimeduringtheTerm,Tenant'scurrentfinancialstatements,andTenant'sfinancialstatementsforthetwo(2)years
priortothecurrentfiscalfinancialstatement'syear,certifiedtobetrue,accurateandcompletebythechieffinancialofficerofTenant,includinga
balancesheetandprofitandlossstatementforthemostrecentprioryear(collectively,the"Statements"),whichStatementsshallaccuratelyand
completelyreflectthefinancialconditionofTenantandshallbe providedonanon-consolidatedbasis.Landlordagreesthatitwillkeepanynon-
publiclyavailableStatementsconfidential,exceptthatLandlordshallhavetherighttodeliverthesametoanyproposedpurchaserofthePremises,
the Property or any portion thereof, and tothe Mortgagees of Landlord or such purchaser. Tenant acknowledges that Landlordis relying on the
StatementsinitsdeterminationtoenterintothisLease,andTenantrepresentstoLandlord,whichrepresentationshallbedeemedmadeonthedate
ofthisLeaseandagainontheCommencementDate,thatnomaterialchangeinthefinancialconditionofTenant,asreflectedintheStatements,
hasoccurredsincethedateTenantdeliveredtheStatementstoLandlord.IfanymaterialchangeinTenant'sfinancialcondition,asreflectedinthe
Statements,occurspriortothedateofthisLeaseorpriortotheCommencementDate,asthecasemaybe,orifTenantfallstoinformLandlordof
anysuchmaterialchange,Landlordshallhavetheright,inadditiontoanyotherrightsandremediesofLandlord,toterminatethisLeasebyNotice
toTenantgivenwithinthirty(30)daysafterLandlordlearnsofsuchmaterialchange.
Notwithstandingtheforegoing,forsolongasTenantisanentitysubjecttoreportingrequirementsoftheSecuritiesExchangeCommission("SEC")
similartothoseapplicabletopublicly-tradedcompanies,andprovidedthattheforegoingfinancialinformationofTenantisreadilyavailabletothe
public(e.g.,viatheSEC'swebsiteatwww.sec.gov),thenTenantshallnotberequiredtodelivertheforegoingStatementstoLandlord.
ARTICLEXVII
SIGNSANDGRAPHICS
17.1 General. Subject to compliance with Applicable Laws, Tenant shall be entitled to the following Building-standard signage (" Permitted
Signage"):(i)alistingofTenant'snameintheBuilding'smainlobbydirectory,and(ii)suiteidentificationsignageonoradjacenttotheentranceto
thePremises.Tenantshallhavenorighttomaintainanyothersignsorgraphicsinanyotherlocationin,onoraboutthePremisesortheBuilding
andshallnotdisplayorerectanyothersigns,displaysorotheradvertisingmaterialsthatarevisiblefromtheexterioroftheBuildingoroutsideofthe
Premises.PermittedSignageshallbeinstalled,maintainedbyLandlord(andremovedbyLandlordupontheexpirationorsoonerterminationofthis
Lease),andshallbesubjecttoanyRestrictionsandconformtothesigncriteriaestablishedbyLandlordfromtimetotimeforsuchsignage.
Tenant grants to Landlord a non-exclusive and royalty-free license and limited right to use Tenant's Trade Name(s), trademark(s), logo(s) and
design(s),whetherregisteredorunregistered(the"LicensedMarks")inmarketingmaterialsorotherpromotionalmaterialsrelatingtotheBuilding
orPropertyinallmedia,including,withoutlimitation,theuse,reproductionanddistributionofphotographsandvideooftheoutsideofthePremises
orBuildingandTenant'ssignageandtheuseofLicensedMarksinanytenantlist.
17.2MonumentSignage.Inaddition,Tenant,atTenant'ssolecostandexpense,shallhavethenon-exclusiverighttoplaceitsname("Tenant's
MonumentSignage")onthemonumentsignfortheBuilding(the"MonumentSign").Thelocation,design,sizeandcolorTenant'sMonument
Signage on the Monument Sign, and the manner in which it is attached to the Monument Sign, shall be subject to the reasonable approval of
Landlordandtocompliance withallApplicableLawsandRestrictions.Upontheexpirationorearliertermination oftheLeaseorTenant'srightto
possessionofthePremises,orTenant'srighttotheMonumentSign,Landlord,atTenant'ssolecostandexpense,payableasAdditionalRentwithin
thirty (30) days after demand thereof, shall have the right to remove Tenant's Monument Signage from the Monument Sign and restore the
MonumentSigntotheconditionitwasinpriortotheinstallationofTenant'sMonumentSignagethereon,ordinarywearandtearanddamageby
Casualty(whichisgovernedbyArticleXII)excepted.TherightsprovidedforinthisparagraphwithrespecttotheMonumentSignshallbepersonal
totheOriginalTenantandnon-transferableunlessotherwiseagreedtobyLandlordinwritinginaccordancewithArticleXIV.
