COMMONAREAANDPARKING
10.1GrantofNonexclusiveCommonAreaLicenseandRight.Tenantanditspermittedsubtenantsshallhaveanon-exclusivelicenseandright
,equaltothatofthegeneralpublicandincommonwithLandlordandallpersons,firmsandentitiesconductingbusinessintheBuildingandtheir
respectiveagents,employees,guests,customers,inviteesandsubtenants,tousetheCommonAreaforpedestrianandvehicularingress,egress
andtravelinandoverdesignatedareas,andforsuchother purposesandfordoingsuchotherthingsasmaybeprovidedfor,authorizedand/or
permittedby thisLease andthe Restrictions,suchnonexclusivelicense andright tobe appurtenantto Tenant'sleasehold estatecreated bythis
Lease.ThenonexclusivelicenseandrightgrantedpursuanttotheprovisionsofthisArticleXshallbesubjecttotheprovisionsoftheRestrictions,
whichpertaininanywaytotheCommonAreacoveredbysuchRestrictions,andtheprovisionsofthisLease.
10.2UseofCommonArea.Notwithstandinganythingtothecontraryherein,Tenantanditssuccessors,assigns,employees,agentsandinvitees
shallusetheCommonAreaonlyforthepurposespermittedherebyandbytheRestrictionsandtheRulesandRegulations.Allusespermittedwithin
the Common Area shall be undertaken in such reasonable manner so as not to interfere with the primary use of the Common Areawhich is to
provideparkingandvehicularandpedestrianaccessthroughouttheCommonAreawithintheBuildingorPropertyandtoadjacentpublicstreetsfor
Landlord,Landlord'sAgents,anditstenants,subtenants,contractorsandallpersons,firmsandentitiesconductingbusinesswithinthePropertyand
their respective agents, employees, guests, customers and invitees. In no event shall Tenant erect, install, or place, or cause to be erected,
installed,orplacedanystructure,building,trailer,fence,wall,signsorotherobstructionsontheCommonArea,andTenantshallnotstoreorsell
anymerchandise,equipmentormaterialsontheCommonArea.
10.3ControlofCommonArea.SubjecttoprovisionsoftheRestrictions,allCommonAreaandallimprovementslocatedfromtimetotimewithin
theCommonAreashallatalltimesbesubjecttotheexclusivecontrolandmanagementoftheLandlord.Withoutinanywaylimitingtheforegoing,
Landlordshall havethe rightto construct,maintain andoperate lightingfacilities andother improvementswithintheCommonArea; topolicethe
Common Area from time to time; to change the area, level, location and arrangement of the parking areas and other improvements within the
Common Area; to restrict parking by tenants, their officers, agents and employees to employee parking areas; to enforce parking charges (by
operationofmetersorotherwise);toclosealloranyportionoftheCommonAreaorimprovementsthereintosuchextentasmay,intheopinionof
counselforLandlord,belegallysufficienttopreventadedicationthereofortheaccrualofanyrightstoanypersonortothepublictherein;toclose
temporarilyalloranyportionoftheCommon Areaand/or theimprovements thereon(including,withoutlimitation,inconnectionwith anyrepairs,
maintenanceandrenovationsthereof);todiscouragenoncustomerparking;andtodoandperformsuchotheractsinandtosaidCommonAreaand
improvements thereon as, in the use of good business judgment, Landlord shall determine to be advisable. Landlord reserves the right to
promulgatesuchreasonablerulesandregulationsrelatingtotheuseoftheCommonAreaasLandlordmaydeemappropriate,andTenantagrees
tocomply with(andcause itsagents,employees, guests,customers,invitees andsubtenantsto complywith)anysuch rulesandregulationsso
promulgatedbyLandlord.IntheeventLandlordelectsorisrequiredbyanyApplicableLawtolimitorcontrolparkingwithintheCommonArea,by
validationofparkingticketsoranyothermethod,Tenantagreestoparticipateinsuchvalidationorotherprogramundersuchreasonablerulesand
regulationsasarefromtimetotimeestablishedbyLandlord.
10.4MaintenanceofCommonArea.SubjecttotheprovisionsoftheRestrictions,Landlordshalloperateandmaintain(orcausetobeoperated
andmaintained)theCommonAreainasimilarconditiontocomparableofficebuildingprojectslocatedinthegeneralvicinityoftheProperty,insuch
mannerasLandlordinitsreasonablediscretionshalldeterminefromtimetotime.Withoutlimitingthescopeofsuchdiscretion,Landlordshallhave
thefullrightandauthoritytoemployorcausetobeemployedallpersonnelandtomakeorcausetobemadeallrulesandregulationspertainingto
ornecessaryfortheproperoperationandmaintenanceoftheCommonAreaandtheimprovementslocatedthereon.Thecostofsuchmaintenance
oftheCommonAreashallbeincludedaspartofProjectCosts.TenantshallnotuseanypartoftheCommonAreaforthestorageofanyitems,
including,withoutlimitation,vehicles,materials,inventoryandequipment.Tenantshallplacealltrashandotherrefuseindesignatedreceptacles.
Tenant shall not perform or permit any work of any kind in the Common Area, including, but not limited to, painting, drying, cleaning, repairing,
manufacturing,assembling,cutting,merchandisingordisplaying.
