ALTERATIONS
8.1PermittedAlterations.TenantshallnotmakeorpermitanyAlterationswithoutthepriorwrittenconsentofLandlord(whichconsentshallnotbe
unreasonablywithheld).Notwithstandingtheforegoing,innoeventshallanyAlterations(i)affecttheexterioroftheBuildingortheoutsideareasof
thePropertyortheBuilding(orbevisiblefromadjoiningsites),(ii)affectorpenetrateanyofthestructuralportionsoftheBuilding,including,butnot
limitedto,theroof,(iii)requireanychangetothebasicfloorplanofthePremises,anychangetothestructuralormechanicalcomponentsofthe
Premises, or any governmental approval or permit as a prerequisite to the construction thereof, (iv) interfere in any manner with the proper
functioning of or Landlord's access to any mechanical, electrical, plumbing or HVAC systems, facilities or equipment located in or serving the
Building,or(v)diminishthevalueofthePremises.AllAlterationsshallbeconstructedpursuanttoplansandspecificationspreviouslyprovidedto
and,whenapplicable,approvedinwritingbyLandlord,shallbeinstalledbyalicensedcontractoratTenant'ssoleexpenseincompliancewithall
ApplicableLaws,andshallbeaccomplishedinagoodandworkmanlikemannerconforminginqualityanddesignwiththePremisesexistingasof
the Commencement Date and in accordance with the provisions of Section 22.1 below. No Hazardous Materials, including, but not limited to,
asbestosorasbestos-containingmaterials,shallbeusedbyTenantorTenant'sAgentsintheconstructionorinstallationofanyAlterationspermitted
hereunder. Tenant shall, if required by Landlord, obtain and pay for, at Tenant's own expense, a completion and indemnity bond covering such
Alterations,theformandamountofwhichshallbesubjecttoreasonableapprovalofLandlord.AllAlterationsmadebyTenantshallbeandbecome
thepropertyofLandlordupontheconstructionorinstallationthereofandshallnotbedeemedTenant'sPersonalProperty;provided,however,that
Landlordmay,atitsoptionuponNoticegiventoTenantatthetimeLandlord'sconsentstotheAlteration,requirethatTenant,upontheexpirationor
sooner termination of this Lease, at Tenant's expense, remove any or all Alterations and return the Premises to its condition as of the
CommencementDate,normalwearandtearexcepted.NotwithstandinganyotherprovisionsofthisLeasetothecontrary,Tenantshallbesolely
responsibleforthemaintenance,repairandreplacementofanyandallAlterationsmadebyorforthebenefitofTenant(including,withoutlimitation,
by Landlord for the benefit of Tenant). Inaddition, Tenant shall be responsible for the payment ofany increase in Real Property Taxes that are
attributabletoanyAlterations,whichpaymentshallbemadebyTenanttoLandlordwithinten(10)daysfollowingLandlord'swrittendemandtherefor
fromtimetotime.
8.2 TradeFixtures;Taxes.Tenant shall,at itsownexpense, provide,install andmaintainingoodcondition allof Tenant'sPersonalProperty
requiredintheconductofitsbusinessinthePremises.Tenantshallpaybeforedelinquencyanyandalltaxes,assessments,licensefeesandpublic
chargeslevied,assessedorimposedagainstTenantorTenant'sestateinthisLeaseorthepropertyofTenantsituatedwithinthePremiseswhich
becomedueduringtheTerm,including,withoutlimitationanyAlterationsandTenant'sPersonalProperty.UponrequestbyLandlord,Tenantshall
promptlyfurnishLandlordwithsatisfactoryevidenceofthesepayments.
8.3Mechanics'Liens.FromandaftertheCommencementDate(orsuchearlierdatethatTenantentersthePremises)TenantshallgiveLandlord
Notice of Tenant's intentionto perform any work on the Premises which might result in any claim of lien at least twenty (20) days prior to the
commencementofsuchworktoenableLandlordtopostandrecordanoticeofnonresponsibilityorothernoticeLandlorddeemsproperpriortothe
commencement of any such work. Tenant shall not permit any mechanic's, materialmen's or other liens to be filed against the Property or the
BuildingoranyportionthereoforagainstTenant'sleaseholdinterestinthePremises.IfTenantfailstocausethereleaseofrecordofanylien(s)filed
againstthePropertyortheBuildingoranyportionthereoforitsleaseholdestateinthePremisesbypaymentorpostingofaproperbondwithinten
(10) days from the date of the lien filing(s), then Landlord may, at Tenant's expense, cause such lien(s) to be released by any meansLandlord
deems proper, including, but not limited to, payment of or defense against the claim giving rise to the lien(s). All sums reasonably disbursed,
depositedorincurredbyLandlordinconnectionwiththereleaseofthelien(s),including,butnotlimitedto,allcosts,expensesandactualattorneys'
fees,shallbedueandpayablebyTenanttoLandlord,asanitemofAdditionalRent,ondemandbyLandlord,togetherwithinterestthereonatthe
ApplicableRatefromthedateofsuchdemanduntilpaidbyTenant.
8.4AlterationsbyLandlord.Landlordreservestherightatanytimeandfromtimetotimewithoutthesameconstitutinganactualorconstructive
evictionandwithoutincurringanyliabilitytoTenanttherefororotherwiseaffectingTenant'sobligationsunderthisLease,tomakesuchchanges,
alterations, additions, improvements, repairs orreplacements in or tothe Building (including thePremises if required todo so by anyApplicable
Laws)andthe fixtures andequipment thereof, aswellas inorto thestreetentrances,walls, passages, andstairwaysthereof, or tochangethe
namebywhichtheBuildingorthePropertyiscommonlyknown,asLandlordmaydeemnecessaryordesirable.Nothingcontainedhereinshallbe
deemedtorelieveTenantofanyduty,obligationorliabilityofTenantwithrespecttomakinganyrepair,replacementorimprovementorcomplying
withanyApplicableLawsinconnection
