jurisdictionoveralloranypartofthePropertyorPremises(including,butnotlimitedto,state,municipal,countyandfederalgovernmentsandtheir
departments,bureaus,boardsandofficials)pertainingtotheuseoroccupancyof,orapplicableto,thePremisesorprivilegesappurtenanttoorin
connectionwiththeenjoymentofthePremises,(ii)anyandallapplicablefederal,stateandlocallaws,regulationsorordinancespertainingtoair
and water quality, Hazardous Materials (as defined in Article VI), waste disposal, air emissions and other environmental or healthand safety
matters,zoning,landuseandutilityavailability,whichimposeanydutyuponLandlordorTenantdirectlyorwithrespecttotheuseoroccupationof
thePropertyoranyportionthereof,(iii)therequirementsoftheBoardofFireUnderwritersorothersimilarbodynoworhereafterconstitutedrelating
to or affecting the condition, use or occupancy of the Premises, Building or Property or any portion thereof, (iv) any covenants, conditions,
easementsorrestrictions,including,butnotlimitedto,theRestrictions,noworhereafteraffectingorencumberingtheBuildingortheProperty,or
any portion thereof, regardless of when they become effective, (v) the Rules and Regulations, and (vi) good business practices (collectively, (i)
through(vi)abovearehereinafterreferredtoas"ApplicableLaws").TenantshallnotcommitanywasteofthePremises,BuildingorProperty,or
anypublicorprivatenuisanceoranyotheractorthingwhichwouldreasonablybeexpectedtodisturbthequietenjoymentofanyothertenantofthe
Buildingoranyoccupantofnearbyproperty.Tenantshallnotplaceorpermittobeplacedanyloadsuponthefloors,wallsorceilingsinexcessof
themaximumdesignedloadspecifiedbyLandlordorwhichwouldreasonablybeexpectedtodamagethePremises,BuildingorProperty,orplace
or permit to be placed any harmful liquids in the drainage systems, and Tenant shall not dump or store, or permit to be placed orstored, any
inventory, waste materials, refuse or other materials or allow any such materials to remain outside the Building proper, except in designated
enclosedtrashareas.Tenantshallnotconductorpermitanyauctions,sheriff'ssalesorotherlikeactivitiesatthePropertyoranyportionthereof.
5.3Restrictions.TenantagreesthatthisLeaseissubjectandsubordinatetotheRestrictions,asthesamemaynoworhereafterexist,andthatit
willexecuteanddelivertoLandlordwithinten(10) daysofLandlord'srequesttherefor,anyfurtherdocumentationorinstrumentswhichLandlord
deemsnecessaryordesirabletoevidenceoreffectsuchsubordination.WithoutlimitingtheprovisionsofSection5.2,Tenantshallthroughoutthe
Termtimelycomplywithalloftheterms,provisions,conditionsandrestrictionsoftheRestrictionswhichpertainto,restrictoraffectthePremisesor
Tenant'susethereof,orTenant'suseofanyotherareaofthePropertyorBuildingpermittedhereunder,includingthepaymentbyTenant ofany
periodicorspecialduesorassessmentschargedagainstthePremisesorTenantwhichmaybeallocatedtothePremisesorTenantinaccordance
withtheprovisionsoftheRestrictions.TenantshallholdLandlord,Landlord'sAgentsandthePremisesharmlessandshallindemnify,protectand
defend Landlord and Landlord's Agents from and against any loss, expense, damage, attorneys' fees and costs or liability arising out of or in
connectionwiththefailureofTenanttosoperformorcomplywiththeRestrictions.TenantagreesthatitwillsubordinatethisLeasetoanyother
covenants, conditions and restrictions and anyreciprocal easement agreements or any similaragreements which Landlord may hereafter record
against the Premises and to any amendment or modification to any of the existing Restrictions, provided that such subordination does not
unreasonablyinterferewithTenant'suseandenjoymentofthePremises.
5.4Landlord'sRightofEntry.LandlordandLandlord'sAgentsshallhavetherighttoenterthePremisesatallreasonabletimesuponreasonable
NoticetoTenant(exceptforemergenciesortoprovidejanitorialservices,inwhichcasenoNoticeshallberequired)toinspectthePremises,totake
samplesandconductenvironmentalinvestigations,topostnoticesofnonresponsibilityandsimilarnoticesandsignsindicatingtheavailabilityofthe
Premisesforsale,toshowthePremisestointerestedpartiessuchasprospectivelendersandpurchasers,toperformLandlord'sobligationsunder
thisLease,toperformTenant'sobligationsaspermittedhereinwhenTenanthasfailedtodosotoexerciseLandlord'srightsunderthisLeaseand,
atanyreasonabletime,toplaceuponthePremisesreasonablesignsindicatingtheavailabilityofthePremisesforleaseandtoshowthePremises
toprospectivetenants,allwithoutbeingdeemedtohavecausedanevictionofTenantandwithoutanyliabilitytoTenantorabatementofRent.The
aboverightsaresubjecttoreasonablesecurityregulationsandrequirementsofTenant,andinexercisingitsrightssetforthherein,Landlordshall
usecommerciallyreasonableeffortstominimizeinterferencewithTenant'sbusiness.Landlordshallatalltimeshavetherighttoretainakeywhich
unlocksallofthedoorsinthePremises,excludingTenant'svaultsandsafes,andLandlordandLandlord'sAgentsshallhavetherighttouseany
andallmeanswhichLandlordmaydeempropertoopenthedoorsinanemergencytoobtainentrytothePremises,andanyentrytothePremises
soobtainedbyLandlordorLandlord'sAgentsshallnotunderanycircumstancesbedeemedtobeaforcibleorunlawfulentryinto,oradetainerof,
thePremises,oranevictionofTenantfromthePremises.
