Sections1174and1179andCaliforniaCivilCodeSection3275,andunderanyotherpresentorfuturelawsifTenantisevictedorLandlordtakes
possessionofthePremisesorthisLeaseisterminatedbyreasonofanEventof Default.NoactorthingdonebyLandlordorLandlord'sAgents
duringtheTermshallbedeemedanacceptanceofasurrenderofthePremises,andnoagreementtoacceptasurrendershallbevalidunlessin
writingandsignedbyLandlord.NoemployeeofLandlordorofLandlord'sAgentsshallhaveanypowertoacceptthekeystothePremisespriorto
theterminationofthisLease,andthedeliveryofthekeystoanyemployeeshallnotoperateasaterminationofthisLeaseorasurrenderofthe
Premises.
15.5 Intereston LatePayments.AnyRentdueunderthisLeasethatisnotpaidtoLandlordwithinthree(3)daysofthedatewhendueshall
commencetobearinterestattheApplicableRateuntilfullypaid.NeithertheaccrualnorthepaymentofinterestshallcureanydefaultbyTenant
underthisLease.
15.6Attorneys'andOtherFees.AllsumsreasonablyincurredbyLandlordinconnectionwithanEventofDefaultorholdingoverofpossessionby
Tenant after the expiration or termination of this Lease, including, but not limited to, all costs, expenses and actual accountants', appraisers',
attorneys'andotherprofessionalfees,andanycollectionagencyorothercollectioncharges,shallbedueandpayablebyTenanttoLandlordon
demand, and shall bear interest at the Applicable Rate from the date of such demand until paid by Tenant. In addition, if any action shall be
institutedbyeitherofthepartiesheretofortheenforcementofanyofitsrightsinandunderthisLease,thepartyinwhosefavorjudgmentshallbe
renderedshallbeentitledtorecoverfromtheotherpartyallexpensesreasonablyincurredbytheprevailingpartyinsuchaction,includingactual
costsandreasonableattorneys'fees.
15.7 Landlord's Default. Landlord shall not be deemed to be in default in the performance of any obligation required to be performed by it
hereunder unless and until it has failed to perform such obligation within thirty (30) days after receipt of Notice by Tenant to Landlord (and the
Mortgagees who have provided Tenant with Notice) specifying the nature of such default; provided, however, that if the nature of Landlord's
obligation is such that more than thirty (30) days are required for its performance, then Landlord shall not be deemed to be in default if it shall
commencesuchperformancewithinsuchthirty(30)dayperiodandthereafterdiligentlyprosecutesthesametocompletion.
15.8LimitationofLandlord'sLiability.TheobligationsofLandlorddonotconstitutethepersonalobligationsoftheindividualpartners,managers,
members,trustees,directors,officersorshareholdersofLandlordoritsconstituentpartners.IfLandlordshallfailtoperformanycovenant,term,or
condition of this Lease upon Landlord's part to be performed, Tenant shall be required to deliver to Landlord Notice of the same. If, as a
consequenceofsuchdefault,TenantshallrecoveramoneyjudgmentagainstLandlord,suchjudgmentshallbesatisfiedonlyoutoftheproceedsof
thesalereceiveduponexecutionofsuchjudgmentandleviedthereonagainsttheright,titleandinterestofLandlordintheBuildingandoutofrent
orotherincomefromsuchpropertyreceivablebyLandlordoroutofconsiderationreceivedbyLandlordfromthesaleorotherdispositionofallor
anypartofLandlord'sright,titleorinterestintheBuilding,andnoactionforanydeficiencymaybesoughtorobtainedbyTenant.Inaddition,inno
eventshallLandlordbeliablefor(i)damagesinexcessofLandlord'sequityintheBuildingtoamaximumoftwentypercent(20%)ofthefairmarket
valueoftheBuildingor(ii)anyconsequentialdamages,opportunitycostsorlostprofitsincurredorsufferedbyTenantasaresultofadefaultby
LandlordunderthisLease.
15.9MortgageeProtection.UponanydefaultonthepartofLandlord,TenantwillgiveNoticebyregisteredorcertifiedmailtoanyMortgageewho
has provided Tenant with Notice of its interest together with an address for receiving Notice, and shall offer such Mortgagee a reasonable
opportunitytocurethedefault(whichinnoeventshallbelessthansixty(60)days),includingtimetoobtainpossessionofthePremisesbypowerof
saleorajudicialforeclosure,ifsuchshouldprovenecessary,toeffectacure.TenantagreesthateachoftheMortgageestowhomthisLeasehas
beenassignedbyLandlordisanexpressthirdpartybeneficiaryhereof.TenantshallnotmakeanyprepaymentofMonthlyRentmorethanone(1)
monthinadvancewithoutthepriorwrittenconsentofsuchMortgagee.Tenantwaivesanyrightunderanypresentorfuturelawtothecollectionof
any security deposit from such Mortgagee or any purchaser at a foreclosure sale of such Mortgagee's interest unless such Mortgagee or such
purchasershallhaveactuallyreceivedandnotrefundedthesecuritydepositinaccordancewiththetermsofthisLease.Tenantagreestomakeall
paymentsunderthisLeasetotheMortgageewiththemostseniorencumbranceuponreceivingadirection,inwriting,topaysaidamountstosuch
Mortgagee.TenantshallcomplywithsuchwrittendirectiontopaywithoutdeterminingwhetheraneventofdefaultexistsundersuchMortgagee's
loantoLandlord.
15.10 Landlord'sRight to Perform . If Tenant shall at any time fail to make any payment or perform any other act on its part to be made or
performedunderthisLease,Landlordmay(butshallnotbeobligatedto),atTenant'sexpense,andwithoutwaivingorreleasingTenantfromany
obligationofTenantunderthisLease,makesuchpaymentorperformsuchotheracttotheextentLandlordmaydeemdesirable,andinconnection
therewith,pay
