We have adopted a Code of Ethics within the meaning of Item 406(b) of SEC Regulation S-K. This Code of Ethics applies to
our principal executive officer, principal financial officer and principal accounting officer. This Code of Ethics is publicly available on
our website at republic-airways.net. If we make substantive amendments to this Code of Ethics or grant any waiver, including any
implicit waiver, we will disclose the nature of such amendment or waiver on our website or in a report on Form 8-K within four days
of such amendment or waiver.
Section 16(a) Beneficial Ownership Reporting Compliance
Section 16(a) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), requires that Company’s executive
officers and directors, and person who beneficially own more than ten percent of the Company’s common stock, to file initial reports
of ownership and reports of changes in ownership with the SEC and the National Association of Securities Dealers, Inc. Executive
officers, directors, and greater than ten percent beneficial owners are required by SEC regulations to furnish the Company with copies
of all Section 16(a) forms they file. Based upon a review of the copies of such forms furnished to the Company and written
representations from the Company’s executive officers, directors and greater, we believe that during fiscal 2005 all Section 16(a)
filing requirements applicable to its executive officers, directors and greater than ten percent beneficial owners were complied with
except for one late filing made on behalf of Mr. Bedford.
