NOTICE OF GRANT OF RESTRICTED STOCK UNITS
The Participant has been granted an award of Restricted Stock Units (the “ Award ” )
pursuant to the lululemon athletica inc. 2014 Equity
Incentive Plan (the “ Plan ” ) and the Restricted Stock Units Agreement attached hereto (the “ Agreement ” ), as follows:
By their signatures below, the Company and the Participant agree that the Award is governed by this Notice and by the provisions of the Plan,
the Agreement, and the Clawback Policy, all of which are made a part of this document. The Participant acknowledges receipt of a copy of the
Plan, the Agreement, the prospectus for the Plan, and the Clawback Policy represents that the Participant has read and is familiar with the
provisions of the Plan and the Agreement, and hereby accepts the Award subject to all of their terms and conditions.

Except as otherwise provided in the Agreement or a separate written employment or other agreement

event no later than seventy four (74) days following such date.
Vested Units: Except as provided in the Restricted Stock Units Agreement or a separate written employment or other
agreement between a Participating Company and the Participant and provided that the Participant’s Service
has not terminated prior to the applicable Unit Vesting Date set forth below, the percentage of the Total
Number of Units which become Vested Units on each Unit Vesting Date Shall be as follows:
