We are implementing an enterprise resource planning ("ERP") system on a worldwide basis, which is expected to
impact our business and financial transaction processes. The implementation is expected to occur in phases globally over
the next several years, and began with a roll-out to our Canadian subsidiary in April 2012. The implementation of a worldwide
ERP system will affect the processes that constitute our internal control over financial reporting and will require continued
testing for effectiveness as the implementation progresses.
There has been no change in our internal control over financial reporting that occurred during our fiscal quarter ended
December 31, 2012 that has materially affected, or is reasonably likely to materially affect, our internal control over financial
reporting.
Our independent auditors have issued an audit report on the effectiveness of our internal control over financial reporting
as of December 31, 2012, which is included herein.
