TheAudit/EthicsCommitteehasadoptedguidelinesfor
thepre-approvalofauditandpermittednon-auditservicesby
theCompany’sindependentauditor.TheAudit/EthicsCommit-
teewillconsiderannuallyand,ifappropriate,approvethepro-
visionofauditservicesbyitsindependentauditorandconsider
and,ifappropriate,pre-approvetheprovisionofcertain
definedauditandnon-auditservices.TheAudit/EthicsCom-
mitteewillalsoconsideronacase-by-casebasisand,ifappro-
priate,approvespecificengagementsthatarenototherwise
pre-approved.The“GuidelinesforPre-ApprovalofAuditand
Non-AuditFeesoftheIndependentAuditor”adoptedbythe
Audit/EthicsCommitteeonJanuary27,2004isattachedas
AnnexEtothisProxyStatement.Anyproposedengagement
withestimatednon-auditfeesof$15,000ormorethatdoes
notfitwithinthedefinitionofapre-approvedservicemaybe
presentedtotheChairmanoftheAudit/EthicsCommitteefor
pre-approval.TheChairmanoftheAudit/EthicsCommitteewill
reportanyspecificapprovalofservicesatitsnextregularmeet-
ing.TheAudit/EthicsCommitteewillreviewasummaryreport
detailingallservicesbeingprovidedtotheCompanybyits
IndependentAuditor.Allofthefeesandservicesdescribed
aboveunder“auditfees,”“audit-relatedfees,”“taxfees”and
“allotherfees”wereapprovedundertheGuidelinesforPre-
ApprovalofAuditandNon-AuditFeesoftheIndependent
AuditorandpursuanttoSection202ofSOX.
PROPOSALNO.3
AMENDMENTTOCOMPANY’SRESTATED
CERTIFICATEOFINCORPORATION
TheBoardofDirectorshasdeterminedtheCompany’s
RestatedCertificateofIncorporation(“RestatedCertificate”)
shouldbeamendedtorepealtheprovisionsthatprovidefor
theclassificationoftheBoardofDirectors.Inparticular,Article
EleventhoftheRestatedCertificateprovidesfortheclassifica-
tionoftheBoardofDirectorsintothreeclasses,ClassI,ClassII
andClassIIIwitheachdirectorservingforatermofthree
yearsandcontainsprovisionsconcerningtheapportionment
ofnewlycreateddirectorshipsintodirectorclassesandthe
removalofdirectorsandArticleThirteenthoftheRestated
CertificatereferencestheclassificationoftheBoardofDirec-
tors.TheBoardhasunanimouslyadoptedaresolutionto
amendArticleEleventhandtheappropriateportionsofArticle
Thirteenthandotherwiseapprovetheamendment,declaring
itadvisableandrecommendingsuchamendmenttotheCom-
pany’sstockholders.
IftheCompany’sstockholdersapprovetheproposed
amendment,theclassifiedboardwillbeeliminated,directors
willthereafterateachannualmeetingbeelectedforaone-
yeartermendingonthedateoftheAnnualMeetingofStock-
holdersfollowingtheannualmeetingatwhichthedirector
waselectedandwillserveuntiltheirsuccessorsareelected
andqualified.Inaddition,anydirectorappointedinthefuture
asaresultofanewlycreatedpositionortofillavacancyon
theCompany’sBoardofDirectorswillholdofficeonlyuntil
thenextAnnualMeetingofStockholders.Eachofthedirec-
torshaveagreedtoshortentheirexistingtermsandstandfor
re-electionatthe2006AnnualMeetingofStockholdersfora
one-yeartermendingonthefollowingannualmeetingifthe
proposedamendmentisapprovedbythestockholdersandthe
amendmentisfiledinDelaware.Ifapproved,theproposed
amendmentwillalsodeletetheexistingprovisioninArticle
Elevenththatspecifieddirectorsmaynotberemovedexcept
forcause.UnderDelawarelaw,directorsofcompaniesthat
donothaveclassifiedboardsmayberemovedbythestock-
holderswithorwithoutcause,bytheaffirmativevoteofthe
holdersofamajorityoftheoutstandingsharesthenentitled
tovotegenerallyintheelectionofdirectors.
TheCompanybelievesthattheelectionofdirectorsto
staggeredtermshaspromotedgoodcorporategovernanceby
providingthestabilitytodevelopandexecutelong-term,stra-
tegicplanning.Thestaggeredelectionofdirectorshasalso
assuredthattheCompanyhashaddirectorswithahistorical
perspectiveoftheCompanyanditsoperations,andthatper-
spectivehasprovidedthein-depthknowledgeforcontinuity
inpursuingtheCompany’sstrategicgoals.TheBoardbelieves
thattheCompany’sBoardisknowledgeableaboutmanage-
mentandtheCompany’splans.
Anon-bindingproposaltodeclassifytheBoardwas
firstintroducedbyastockholderin2000.In2003and2004,
thestockholderagainintroducedsuchproposal.In2005,
Mr.HaroldJ.Mathis,Jr.againsubmittedsuchproposal,but
haswithdrawnitasaresultofthisproposalbytheCompany’s
BoardofDirectors.TheCompanystatedinits2004Proxy
Statementthatifthestockholderproposaltodeclassifythe
BoardofDirectorsreceivedatleastthesamesupportbythe
stockholdersofalloftheoutstandingsharesatits2004Annual
Meetingasitdidatthe2003AnnualMeeting,theBoardof
Directorswouldintroduceandsupportabindingproposalat
the2005AnnualMeetingtoamendtheCompany’sRestated
Certificateinordertoeliminatetheprovisionclassifyingthe
Company’sBoard.Thestockholderproposalreceived90.38%
ofthevotescastfororagainsttheproposalatthe2004Annual
Meeting,whichequatedto72.50%ofalloftheoutstanding
sharesofCommonStock.In2003,thestockholderproposal
received84.88%ofthevotescastfororagainsttheproposal,
whichequatesto68.82%ofalltheoutstandingsharesof
CommonStock.
InordertoeliminatetheclassstructureoftheBoard,the
Company’sRestatedCertificatemustbeamended,which
requirestheaffirmativevoteof75%ofthetotalvotingpower
ofallsharesofstockoftheCompanyentitledtovoteinthe
electionofdirectors,andfiledwiththeSecretaryofStateof
theStateofDelaware.
Thetextoftheproposedamendmentandrelatedamend-
mentstotheRestatedCertificateisattachedasAnnexFto
thisProxyStatement.Iftheproposalisapprovedbythestock-
holders,conformingamendmentswillbemadetothebylaws.
RecommendationoftheBoardofDirectors
YourBoardofDirectorsrecommendsavoteFORthe
approvaloftheproposaltoeliminatetheclassificationof
theBoardofDirectorsandtherelatedamendmentstothe
RestatedCertificate.
