TheinvestigationinNigeriawassubstantiallycompletedduring
thefirstquarterof2003and,baseduponcurrentinformation,
wedonotexpectthatanysuchpotentialliabilitieswillhavea
materialadverseeffectonourconsolidatedfinancialstate-
ments.TheinternalinvestigationsinAngolaandKazakhstan
weresubstantiallycompletedinthethirdquarterof2004.Evi-
denceobtainedduringthecourseoftheinvestigationshas
beenprovidedtotheSECandDOJ.
TheDepartmentofCommerce,DepartmentoftheNavy
andDOJ(the“U.S.agencies”)areinvestigatingcompliance
withcertainexportlicensesissuedtoWesternGeophysical
from1994through2000forexportofseismicequipment
leasedbythePeople’sRepublicofChina.WeacquiredWest-
ernGeophysicalinAugust1998andsubsequentlytransferred
relatedassetstoWesternGecoinDecember2000.Underthe
WesternGecoformationagreement,weoweindemnityto
WesternGecoforcertainmatters.Wearecooperatingfully
withtheU.S.agencies.
Wehavereceivedasubpoenafromagrandjuryinthe
SouthernDistrictofNewYorkregardinggoodsandserviceswe
deliveredtoIraqfrom1995through2003duringtheUnited
NationsOil-for-FoodProgram(the“U.N.Program”).Wehave
alsoreceivedarequestfromtheSECtoprovideawrittenstate-
mentandcertaininformationregardingourparticipationinthe
U.N.Program.Wearerespondingtoboththesubpoenaand
therequest.Othercompaniesintheenergyindustryare
believedtohavereceivedsimilarsubpoenasandrequests.
TheU.S.agencies,theSECandotherauthoritieshave
abroadrangeofcivilandcriminalsanctionstheymayseek
toimposeagainstcorporationsandindividualsinappropriate
circumstancesincluding,butnotlimitedto,injunctiverelief,
disgorgement,fines,penaltiesandmodificationstobusiness
practicesandcomplianceprograms.During2004,suchagen-
ciesandauthoritiesenteredintoagreementswith,and
obtainedarangeofsanctionsagainst,severalpubliccorpo-
rationsandindividualsarisingfromallegationsofimproper
paymentsanddeficienciesinbooksandrecordsandinternal
controls,wherebycivilandcriminalpenaltieswereimposed,
includinginsomecasesmulti-milliondollarfinesandother
sanctions.Itisnotpossibletoaccuratelypredictatthistime
whenanyoftheinvestigationsrelatedtotheCompanywill
becompleted.Basedoncurrentinformation,wecannot
predicttheoutcomeofsuchinvestigationsorwhat,ifany,
actionsmaybetakenbytheU.S.agencies,theSECorother
authoritiesortheeffectitmayhaveonourconsolidated
financialstatements.
OnMay10,2004,theDistrictCourtofAndrewsCounty,
TexasenteredajudgmentinfavorofLOTUS,LLCandagainst
INTEQintheamountof$14.8millionforlostprofitsresulting
fromabreachofcontractindrillingawelltocreateasalt
cavernfordisposingofnaturallyoccurringradioactivewaste.
Wehavefiledanappealandtakenotheractions.Webelieve
thatanyliabilitythatwemayincurasaresultofthislitigation
wouldnothaveamaterialadversefinancialeffectonourcon-
solidatedfinancialstatements.
EnvironmentalMatters
Ourpastandpresentoperationsincludeactivitieswhich
aresubjecttoextensivedomestic(includingU.S.federal,
stateandlocal)andinternationalenvironmentalregulations
withregardtoairandwaterqualityandotherenvironmental
matters.Ourenvironmentalprocedures,policiesandpractices
aredesignedtoensurecompliancewithexistinglawsand
regulationsandtominimizethepossibilityofsignificantenvi-
ronmentaldamage.
Weareinvolvedinvoluntaryremediationprojectsatsome
ofourpresentandformermanufacturingfacilities,themajor-
ityofwhichrelatetopropertiesobtainedinacquisitionsorto
sitesnolongeractivelyusedinoperations.Onrareoccasions,
remediationactivitiesareconductedasspecifiedbyagovern-
mentagency-issuedconsentdecreeoragreedorder.Reme-
diationcostsareaccruedbasedonestimatesofprobable
exposureusingcurrentlyavailablefacts,existingenvironmental
permits,technologyandpresentlyenactedlawsandregula-
tions.Remediationcostestimatesincludedirectcostsrelated
totheenvironmentalinvestigation,externalconsultingactivi-
ties,governmentaloversightfees,treatmentequipmentand
costsassociatedwithlong-termoperation,maintenanceand
monitoringofaremediationproject.
Wehavealsobeenidentifiedasapotentiallyresponsible
party(“PRP”)inremedialactivitiesrelatedtovariousSuper-
fundsites.WeparticipateintheprocesssetoutintheJoint
ParticipationandDefenseAgreementtonegotiatewithgov-
ernmentagencies,identifyotherPRPs,determineeachPRP’s
allocationandestimateremediationcosts.Wehaveaccrued
whatwebelievetobeourpro-ratashareofthetotalesti-
matedcostofremediationandassociatedmanagementof
theseSuperfundsites.Thisshareisbasedupontheratiothat
theestimatedvolumeofwastewecontributedtothesite
bearstothetotalestimatedvolumeofwastedisposedatthe
site.ApplicableUnitedStatesfederallawimposesjointand
severalliabilityoneachPRPforthecleanupofthesesitesleav-
inguswiththeuncertaintythatwemayberesponsibleforthe
remediationcostattributabletootherPRPswhoareunableto
paytheirshare.Noaccrualhasbeenmadeunderthejointand
severalliabilityconceptforthoseSuperfundsiteswhereour
participationisminorsincewebelievethattheprobabilitythat
wewillhavetopaymaterialcostsaboveourvolumetricshare
isremote.WebelievethereareotherPRPswhohavegreater
involvementonavolumetriccalculationbasis,whohavesub-
stantialassetsandwhomaybereasonablyexpectedtopay
theirshareofthecostofremediation.ForthoseSuperfund
siteswhereweareamajorPRP,remediationcostsareesti-
matedtoincluderecalcitrantparties.Insomecases,wehave
insurancecoverageorcontractualindemnitiesfromthirdpar-
tiestocovertheultimateliability.
Ourtotalaccrualforenvironmentalremediationis$13.6mil-
lionand$15.6million,whichincludesaccrualsof$3.6million
and$4.3millionforthevariousSuperfundsites,atDecem-
ber31,2004and2003,respectively.Thedeterminationofthe
requiredaccrualsforremediationcostsissubjecttouncer-
tainty,includingtheevolvingnatureofenvironmentalregula-
tionsandthedifficultyinestimatingtheextentandtypeof
