any฀contributions฀to฀any฀charitable฀organization฀in฀which฀an฀
independent฀director฀served฀as฀an฀executive฀officer,฀which฀
exceeded฀the฀greater฀of฀$1฀million฀or฀2%฀of฀the฀charitable฀
organization’s฀consolidated฀gross฀revenues.
