InadditiontothePensionPlan,theCompanyhasaSup-
plementalRetirementPlantoprovidecoveredexecutiveswith
thetotalamountofretirementbenefittheywouldhaveother-
wisereceivedunderthePensionPlanbutforlegislatedcom-
pensationceilingsincompliancewithcertainsectionsofthe
InternalRevenueCode,whichlimitretirementbenefitspayable
underqualifiedplans.Inaccordancewiththeselegislatedceil-
ings,eligiblecompensationunderthePensionPlanwaslimited
to$205,000in2004.Thecompensationlimitisassumed,for
purposesofdeterminingestimatedbenefitsshowninthe
abovetable,toincreaseinfutureyears,basedonestimated
cost-of-livingincreasesapplicabletosuchlimit.Theceilingmay
beadjustedinthefuturebyregulationsissuedundertheInter-
nalRevenueCode.SeeFootnote(1)tothetableunderthe
caption“SummaryCompensationTable.”
EMPLOYMENT,CHANGEINCONTROL,SEVERANCE
ANDINDEMNIFICATIONAGREEMENTS
EmploymentAgreement
TheCompanyhasanemploymentagreementwithMr.
ChadC.Deaton,datedasofOctober25,2004,whichpro-
videsfortheemploymentofMr.Deatonforaninitialtwo-year
periodendingOctober25,2006,withautomaticone-year
renewalsunlesseitherpartyprovidesanoticenottoextend
theemploymentagreementatleastthirteenmonthspriorto
thethencurrentexpirationdate.Duringthetermofthe
employmentagreement,Mr.Deatonisentitledtoreceivethe
following,allasestablishedfromtimetotimebytheBoardof
DirectorsortheCompensationCommittee:
• abasesalary;
• theopportunitytoearnannualcashbonusesinamounts
thatmayvaryfromyeartoyearandthatarebasedupon
achievementofperformancegoals;
• long-termincentivesintheformofequity-basedcompen-
sationnolessfavorablethanawardsmadetoothersenior
executivesoftheCompanyandthatarecommensurate
withawardsgrantedtoCEOsofotherpubliccompanies
ofasimilarsizetotheCompany;and
• benefitsandperquisitesthatotherofficersandemployees
oftheCompanyareentitledtoreceive.
Mr.Deaton’sbasesalaryistobereviewedatleastannually
duringthetermoftheemploymentagreementandmaybe
increased(butnotdecreased)baseduponhisperformance
duringtheyear.
UpontheterminationofMr.Deaton’semploymentdueto
hisDisability(asdefinedintheemploymentagreement)orhis
death,heorhisbeneficiaryistobepaidalumpsumincash
equaltoone-halfhisthenbasesalaryforeachyear(prorated
forpartialyears)duringtheremainingtermoftheemploy-
mentagreementandalumpsumincashequaltohis
expectedvalueincentivebonusfortheyearoftermination.
UponterminationofMr.Deaton’semploymentbyhimfor
GoodReason(asdefinedintheemploymentagreement)or
bytheCompanywithoutCause(asdefinedintheemploy-
mentagreement),heisentitledto:
(i) alumpsumcashpaymentinanamountequaltotwo
timeshisthenbasesalary;
(ii) alumpsumcashpaymentequaltotheexpectedvalueof
hisincentivebonusfortheyearoftermination,prorated
tothedateoftermination;
(iii) fortheremainderofthetermoftheemploymentagree-
ment,continuationofcertainexecutiveperquisitesand
medicalinsurancebenefits;and
(iv) fortheremainderofthetermoftheemploymentagree-
ment,continuedemployercontributionstotheCompany’s
SupplementalRetirementPlan.
However,theforegoingbenefitsarenotpayableif
Mr.Deatonisentitledtobenefitsunderhis2004Change
inControlAgreementdiscussedbelow.
IfMr.Deaton’semploymentisterminatedbyhimforany
reasonotherthanaGoodReason(asdefinedintheemploy-
mentagreement)orbytheCompanyforCause(asdefinedin
theemploymentagreement),heistoreceiveonlythosevested
benefitstowhichheisentitledunderthetermsofthe
employeebenefitplansinwhichheisaparticipantasofthe
dateofterminationandalumpsumamountincashequalto
thesumof(i)hisbasesalarythroughthedateoftermination;
(ii)anycompensationpreviouslydeferredbyhim(together
withanyaccruedinterestorearningsthereon)andany
accruedvacationpay;and(iii)anyotheramountsduehim
asofthedateoftermination,ineachcasetotheextentnot
theretoforepaid.
Duringthetermoftheemploymentagreementandfora
periodoftwoyearsfollowingterminationoftheemployment
agreement,Mr.Deatonisprohibitedfrom(i)engagingin
Competition(asdefinedintheemploymentagreement)
withtheCompanyand(ii)solicitingcustomers,employees
andconsultantsoftheCompany.Totheextentanyprovision
iscoveredbyboththeemploymentagreementandthe
2004ChangeinControlAgreementdescribedanddefined
below,the2004ChangeinControlAgreementprovisionso
coveredwillsupersedetheemploymentagreementprovision.
ChangeinControlAgreements
Inadditiontotheemploymentagreementdescribed
above,theCompanyduring2004enteredintochangeincon-
trolagreements(“2004ChangeinControlAgreements”)with
Messrs.ChadC.Deaton,G.StephenFinley,JamesR.Clark,
AlanR.Crain,Jr.andDouglasJ.Wall(“NamedOfficers”),as
wellaseightotherofficersoftheCompany.The2004Change
inControlAgreementsprovideforpaymentofcertainbenefits
totheseofficersasaresultofterminationofemployment
