Litigation
.
D
uring June and July 2006, Vonage, several o
f
our officers and directors, and the firms who served as th
e

nderwriters in our initial public offerin

(“IPO”) were named as
defendants in several purported class action lawsuits arising out
of our IP

n January 9, 2007, the Judicial Panel on Multidistric
t

ation trans

erred all complaints to the District o

New Jersey
.

n

eptember 7, 2007, the

ourt appointed Zyssman

roup a

he lead plaintiff, and the law firm of Zwerlin

Zwerlin

, LLP as lead counsel. On November 19, 2007, the plain

iffs filed the Amended

omplaint, which generally alleges:

defendants made misstatements re

ardin

subscriber line

rowth and avera

e monthly churn rate; (ii) defendants failed t
o
disclose problems with

acsimile transmissions and a pending

ation case;

defendants failed to disclose all paten

ement claims and issues; and (iv) that the Directed Share

rogram suffered from various infirmities. On January 18, 2008

efendants filed their motions to dismiss the Amended Complaint

ing on the matter was completed by April 2, 2008, and
the

ourt heard oral argument on

ctober 10, 2008. The

ourt
has not

et ruled on the motion. The

irms who served as under-

riters to the IPO, pursuant to an indemnification agreement

ntered into between us and those firms

rior to the IP

e reimburse them for the costs and fees

ncurred by them in defense of the IPO litigation. In addition, three

f the firms have demanded that Vonage reimburse them for th
